Except as set out in Schedule 4.1(j) of the Acquiror Disclosure Letter, since January 1, 2024, Acquiror's auditors and the audit committee of the Acquiror Board have not been advised of: (A) any deficiency, or a combination of deficiencies, in the design or operation of internal controls over financial reporting, or (B) any fraud, whether or not material, that involves management or other employees who have a significant role in Acquiror's internal control over financial reporting.
