Additional Financing Documents definition

Additional Financing Documents means any documents or instruments (other than those explicitly referred to in the definition ofFinancing Documents” (other than clause (l) thereof)) evidencing, documenting, securing or otherwise relating to Other Permitted Senior Secured Indebtedness incurred by the Borrower.
Additional Financing Documents has the meaning given to such term in Section 1.3(e) hereof.
Additional Financing Documents means any binding Contracts entered into by Parent or any of its Affiliates in connection with the Additional Financing.

  • The Borrower hereby agrees to furnish copies of all Additional Financing Documents and any amendments or modifications thereto to the Collateral Agent and the Intercreditor Agent promptly following the execution and delivery thereof.

  • Project Aide Memoires, Back-to-Office Reports, Implementation Status Reports, and Additional Financing Documents.

  • The Additional Financing Documents and other instruments related thereto shall be duly recorded or filed in such manner and in such places and at such times as are required by law to establish, perfect, preserve and protect the liens, in favor of the Lender, granted pursuant to the Additional Financing Documents and, all taxes, fees and other charges payable in connection therewith shall be paid in full by the Borrower.

  • SDLP may take any other action or remedy available to SDLP under applicable law or in equity, or pursuant to the terms of this Agreement, the other Financing Documents (including any applicable Additional Financing Documents, if any), or otherwise.

  • If the hedging operation is no longer considered probable, the profits and losses not yet realised and recognised in equity are recognised in the income statement.If hedge accounting cannot be applied, profits and losses resulting from the valuation at fair value of the derivative financial instrument are recognised in the income statement.

  • Borrower shall be jointly and severally liable for any costs associated with any removal, control, sale, repair, refurbishment or maintenance completed in preparation for or in connection with a sale pursuant to the Financing Documents and the Additional Financing Documents (if any), which shall be in addition to all other Obligations then owed.

  • Borrower shall be solely responsible for its own legal, professional and out-of-pocket fees and expenses incurred or charged in connection with the Financing Documents and the Additional Financing Documents (if any).

  • If Borrower consists of more than one person or entity, (i) the liability and responsibilities of each such person and entity that comprises Borrower shall be joint and several with respect to this Agreement, the Financing Documents (including any Additional Financing Documents, if any), and (ii) all references to Borrower shall be deemed to include the phrases “all of Borrowers” and “each of Borrowers” as the context requires.


More Definitions of Additional Financing Documents

Additional Financing Documents means any documents or agreements relating to the transactions contemplated hereby entered into after the date hereof (other than those documents or agreements identified by name in the definition of Financing Documents) by any Transaction Party or any of its Affiliates (i) with Note Holder or any Agent or (ii) for the expressed benefit of Note Holder or any Agent as a third party beneficiary.

Related to Additional Financing Documents

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Refinancing Documents means each of the agreements, documents and instruments entered into in connection with the Refinancing.

  • Additional Financing means the sale by the Company of additional Units as contemplated by the registration statement on Form SB-2 filed by the Company with the SEC on September 13, 2006, as amended from time to time thereafter.

  • Original Financing Agreement means the development credit agreement for a Social Investment Program Project between the Recipient and the Association, dated April 7, 2003, as amended to the date of this Agreement (Credit No. 3740-BD).

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Additional First Lien Documents means, with respect to any Series of Additional First Lien Obligations, the notes, credit agreements, indentures, security documents and other operative agreements evidencing or governing such Indebtedness, and each other agreement entered into for the purpose of securing any Series of Additional First Lien Obligations.

  • Additional Senior Debt Documents means, with respect to any series, issue or class of Additional Senior Debt, the promissory notes, indentures, Collateral Documents or other operative agreements evidencing or governing such Indebtedness, including the Senior Collateral Documents.

  • Permitted Acquisition Documents means with respect to any acquisition proposed by the Borrower or any Subsidiary Guarantor, final copies or substantially final drafts if not executed at the required time of delivery of the purchase agreement, sale agreement, merger agreement or other agreement evidencing such acquisition, including, without limitation, all legal opinions and each other document executed, delivered, contemplated by or prepared in connection therewith and any amendment, modification or supplement to any of the foregoing.

  • Term Loan Documents means the “Loan Documents” as defined in the Term Loan Agreement.

  • Second Lien Note Documents means the Second Lien Notes, the Second Lien Notes Indenture and the Second Lien Security Documents.

  • Junior Financing Documentation means any documentation governing any Junior Financing.

  • Credit Agreement Refinancing Indebtedness means (a) Permitted First Priority Refinancing Debt, (b) Permitted Junior Priority Refinancing Debt or (c) Permitted Unsecured Refinancing Debt, in each case, issued, incurred or otherwise obtained (including by means of the extension or renewal of existing Indebtedness) in exchange for, or to extend, renew, replace, repurchase, retire or refinance, in whole or part, existing Term Loans, or any then-existing Credit Agreement Refinancing Indebtedness (“Refinanced Debt”); provided that (i) such Indebtedness has a maturity no earlier, and a Weighted Average Life to Maturity equal to or greater, than 91 days after the Latest Maturity Date at the time such Indebtedness is incurred, (ii) such Indebtedness shall not have a greater principal amount (or accreted value, if applicable) than the principal amount (or accreted value, if applicable) of the Refinanced Debt plus accrued interest, fees, premiums (if any) and penalties thereon and reasonable fees and expenses associated with the refinancing, (iii) the terms and conditions of such Indebtedness (except as otherwise provided in clause (ii) above and with respect to pricing, rate floors, discounts, premiums and optional prepayment or redemption terms) are substantially identical to, or (taken as a whole) are no more favorable to the lenders or holders providing such Indebtedness, than those applicable to the Refinanced Debt being refinanced (except for covenants or other provisions applicable only to periods after the Latest Maturity Date at the time of incurrence of such Indebtedness) (provided that a certificate of a Responsible Officer delivered to the Agent at least five (5) Business Days prior to the incurrence of such Indebtedness, together with a reasonably detailed description of the material terms and conditions of such Indebtedness or drafts of the documentation relating thereto, stating that the Parent Borrower has determined in good faith that such terms and conditions satisfy the requirement of this clause (iii) shall be conclusive evidence that such terms and conditions satisfy such requirement unless the Agent notifies the Parent Borrower within such five (5) Business Day period that it disagrees with such determination (including a description of the basis upon which it disagrees)), and (iv) such Refinanced Debt shall be repaid, repurchased, retired, defeased or satisfied and discharged, and all accrued interest, fees, premiums (if any) and penalties in connection therewith shall be paid, on the date such Credit Agreement Refinancing Indebtedness is issued, incurred or obtained.

  • Co-financing Agreement means the agreement to be entered into between the Recipient and the Co-financier providing for the Co-financing.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Second Lien Loan Documents means the “Loan Documents” as defined in the Second Lien Credit Agreement.

  • Funding Loan Documents means (i) this Funding Loan Agreement, (ii) the Borrower Loan Agreement, (iii) the Regulatory Agreement, (iv) the Tax Certificate, (v) the Borrower Loan Documents, (vi) all other documents evidencing, securing, governing or otherwise pertaining to the Funding Loan, and (vii) all amendments, modifications, renewals and substitutions of any of the foregoing.

  • DIP Loan Documents means the Replacement DIP Loan Documents (as defined in the DIP Order).

  • Debt Documents means, collectively, the Credit Agreement, the Designated Indebtedness Documents, any Hedging Agreement evidencing or relating to any Hedging Agreement Obligations and the Security Documents.

  • Existing Loan Documents has the meaning given to the term “Loan Documents” in the Existing Credit Agreement.

  • Mezzanine Loan Documents means the “Loan Documents” as defined in the Mezzanine Loan Agreement.

  • Subsidiary Financing Agreement means any agreement to be entered into between the Borrower and a Participating Bank pursuant to Section 3.01 (b) of this Agreement, as the same may be amended from time to time;

  • Subordinated Indebtedness Documents means any document, agreement or instrument evidencing any Subordinated Indebtedness or entered into in connection with any Subordinated Indebtedness.

  • First Lien Loan Documents means the “Loan Documents” as defined in the First Lien Credit Agreement.

  • Subordinated Debt Documents means any documents evidencing and/or securing Debt governed by a Subordination Agreement, all of which documents must be in form and substance acceptable to Agent in its sole discretion. As of the Closing Date, there are no Subordinated Debt Documents.
