Additional Financing Documents definition

Additional Financing Documents means any documents or instruments (other than those explicitly referred to in the definition ofFinancing Documents” (other than clause (l) thereof)) evidencing, documenting, securing or otherwise relating to Other Permitted Senior Secured Indebtedness incurred by the Borrower.
Additional Financing Documents means any binding Contracts entered into by Parent or any of its Affiliates in connection with the Additional Financing.
Additional Financing Documents has the meaning set forth in Section 1.5(e)(4) hereof.

Examples of Additional Financing Documents in a sentence

  • The Borrower hereby agrees to furnish copies of all Additional Financing Documents and any amendments or modifications thereto to the Collateral Agent and the Intercreditor Agent promptly following the execution and delivery thereof.

  • The Additional Financing Documents shall acknowledge the Company’s right to seek the specific performance contemplated by Section 9.6(b).

  • All Obligations are permitted under the Senior Note Indentures and the other Senior Note Documents and the Permitted Additional Financing Documents, in each case that are in effect on any date on which this representation is made.

  • Lender shall inform Borrowers prior to the date that is five (5) months from the Effective Date hereof whether Lender desires to complete the Additional Financing, subject to completion of the Additional Financing Documents, Lender’s continuing diligence and the performance of Borrowers.

  • The following sentence shall be inserted at the end of Section 6.5(a) of the Agreement: Notwithstanding anything in this Agreement to the contrary (including this Section 6.5(a)), the Company shall not be required to file the definitive Proxy Statement or cause the definitive Proxy Statement to be mailed to the Company’s stockholders unless and until Parent has delivered Qualifying Additional Financing Documents to the Company.

  • The obligations of Borrower in this Section 6.7 shall survive the termination of this Agreement and any other applicable Financing Document and the discharge of Borrower’s other obligations under the Financing Documents and the Additional Financing Documents (if any).


More Definitions of Additional Financing Documents

Additional Financing Documents means any documents or agreements relating to the transactions contemplated hereby entered into after the date hereof (other than those documents or agreements identified by name in the definition of Financing Documents) by any Transaction Party or any of its Affiliates (i) with Note Holder or any Agent or (ii) for the expressed benefit of Note Holder or any Agent as a third party beneficiary.
Additional Financing Documents has the meaning given to such term in Section 1.3(e) hereof.
