Additional Investment Shares definition

Additional Investment Shares has the meaning set forth in Section 2.3(c)(ii).

Examples of Additional Investment Shares in a sentence

  • Investor shall document the automatic exercise of the Additional Investment Right by delivering an Investment Right Exercise Notice to the Company and shall pay for the Additional Investment Shares in cash, or through the issuance of a recourse note in the form attached as Exhibit G to this Agreement.

  • If, after the Initial Closing, any Vessel is not delivered by the relevant Seller to the relevant Buyer or Vessel-owning subsidiary nominee for any reason whatsoever, the Additional Investment Shares and the amount of the Note shall be reduced pro rata by the percentage obtained by comparing the purchase price of such non delivered Vessel as set forth in the applicable MOA to the Vessel Purchase Price.

Related to Additional Investment Shares

  • Payment Shares has the meaning set forth in Section 2.02;

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Additional Shares shall have the meaning specified in Section 14.03(a).

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Additional Purchased Securities Securities provided by Seller to Buyer pursuant to Paragraph 4(a) hereof;

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Private Placement Shares shall have the meaning given in the Recitals hereto.

  • Commitment Shares shall have the meaning set forth in Section 12.04.

  • Consideration Shares has the meaning ascribed thereto in Section 2.2.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Purchased Securities has the meaning assigned in the Terms;

  • Released Securities means securities that were Restricted Securities with respect to which all applicable restrictions have expired, lapsed, or been waived.

  • Purchase Shares has the meaning set forth in Section 2.2(a) hereof.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Additional Ordinary Shares means Ordinary Shares issued by the Guarantor following the issuance of the Subscribed Ordinary Shares;

  • Acquisition Shares means each class of shares of beneficial interest of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Adjustment Shares shall have the meaning set forth in Section 11(a)(ii) hereof.

  • Escrowed Securities means the direct, noncallable obligations of the United States of America, as described in the Escrow Agreement.

  • Additional Common Shares means all common stock (including reissued shares) issued (or deemed to be issued pursuant to Section 2) after the date of the Warrant. Additional Common Shares does not include, however, any common stock issued in a transaction described in Sections 2.1 and 2.2 of the Warrant; any common stock Issued upon conversion of preferred stock outstanding on the date of the Warrant; the Shares; or common stock Issued as incentive or in a nonfinancing transaction to employees, officers, directors, or consultants to the Company.

  • Exchange Shares has the meaning set forth in Section 2.01(b).

  • Redemption Shares has the meaning set forth in Section 6.2(a). “Reviewed Year” has the meaning ascribed to said phrase under Section 6225(d)(1) of the Code.

  • Qualifying Shares means shares of Common Stock which either (i) have been owned by the Grantee for more than six (6) months and have been “paid for” within the meaning of Rule 144 promulgated under the Securities Act, or (ii) were obtained by the Grantee in the public market.

  • Purchaser Securities means the Purchaser Units, the Purchaser Common Stock, the Purchaser Preferred Stock and the Purchaser Warrants, collectively.

  • Interest Shares means the shares of Common Stock and the related Preferred Share Purchase Rights issuable in payment of interest on the Note.
