Other than the applicable Assigned Contracts, any predecessor trade exchange client agreement, and agreements related to Intagio’s “Perfect Escapes” business, there are no agreements, contracts, commitments, leases, arrangements or other documents by which any of the Assigned Contracts or Advertising Credits are bound or affected to which Intagio is a party or bound in connection with the Purchased Assets.
To the knowledge of Intagio, the trade balances, Cash Receivables, Advertising Credits and Cash Media Liabilities for the Assigned Contracts set forth on Exhibits A, B and C are materially accurate as of the date stated on such Exhibits.
Except as otherwise agreed to in writing by the Parties or as described in this Agreement, the Parties agree that the nature, quality, and standard of care applicable to the delivery of the Advertisements hereunder, and the skill levels of the employees providing such Advertising Credits, shall be substantially the same as or consistent with those that Hightimes exercises or employs in providing similar services for itself and other third-parties.
Notwithstanding the foregoing, Sylvan will not be required to repay any Advertising Credits to the extent that they in total exceed cumulative Net Operating Profits, prior to termination of this Agreement.
Hightimes will keep detailed records regarding Advertising Credits provided.
Except as set forth in Exhibit B, to the knowledge of Intagio, there does not exist under any contract by which any of the Assigned Contracts or Advertising Credits are bound or affected any event of default or event or condition that, after notice or lapse of time or both, would constitute a violation, breach or default on the part of Intagio.
Spectrum shall provide Hightimes with reasonable advance notice (not less than 10 days) of its desire to use the Advertising Credits during the Term of this Agreement, as well as the form and content of such advertisements.
Any unused Advertising Credits not expended at the end of each Anniversary Period may be carried over and used by Spectrum in the next succeeding Anniversary Period; provided however, that unless the Term of this Agreement shall be extended, as provided in Section 1.02 below, to the extent any Advertising Credits have not been used by the August 31, 2021 expiration of the Term, such Advertising Credits shall terminate and will no longer be available to Spectrum.
Such Advertising Fee Schedule is subject to change during the Term of this Agreement at the sole discretion of Hightimes; provided however, that the fees charged against the Advertising Credits granted to Spectrum shall be no less favorable to Spectrum than the fees charged by Hightimes to other advertisers in its publication or on its website.
Hightimes and Spectrum each agrees to appoint one of their respective employees (each, an “Advertising Manager”) who will have overall responsibility for managing and coordinating the delivery of Advertising Services and use of Advertising Credits, including making available the services of appropriately qualified employees and resources to enable the provision of the Advertising Services and use of Advertising Credits.
