Advisor Expenses definition

Advisor Expenses shall have the meaning set forth in Section 11(b).
Advisor Expenses means any expenses incurred by the Company to any professional advisor, including any Person providing advice or services related to any one or more of engineering, accounting, operations and maintenance, and business practices or strategies.
Advisor Expenses has the meaning set forth in the definition ofCompany Transaction Expenses” of this Appendix A.

Examples of Advisor Expenses in a sentence

  • In no event shall any Trust Advisor Expenses other than Designated Trust Advisor Expenses reduce or delay any principal or interest payable in respect of the Control-Eligible Certificates.

  • Any Trust Advisor Expenses (other than Designated Trust Advisor Expenses) or Excess Trust Advisor Expenses (other than Designated Trust Advisor Expenses) allocated to a Class of Certificates (which are not Control-Eligible Certificates) shall be allocated among the respective Certificates of such Class in proportion to the Percentage Interests evidenced by the respective Certificates.

  • Any indemnification payments or reimbursements of costs or expenses described in the preceding paragraph to which the Trust Advisor may become entitled shall constitute Trust Advisor Expenses and the payment of such Trust Advisor Expenses (other than those that constitute Designated Trust Advisor Expenses) shall be subject to the limitations set forth in Section 4.05.

  • In no event shall any Trust Advisor Expenses (including Excess Trust Advisor Expenses) reduce or delay any principal or interest payable in respect of the Control Eligible Certificates.

  • Any Trust Advisor Expenses (including Excess Trust Advisor Expenses) allocated to a Class of Certificates (including any of the Exchangeable Certificates following the prior corresponding allocation to the related EX XXXXX III Regular Interest) shall be allocated among the respective Certificates of such Class in proportion to the Percentage Interests evidenced by such Certificates.

  • Any indemnification payments to which the Trust Advisor may become entitled shall constitute Trust Advisor Expenses and the payment of such Trust Advisor Expenses (other than those that constitute Designated Trust Advisor Expenses) shall be subject to the limitations set forth in Section 4.05.

More Definitions of Advisor Expenses

Advisor Expenses means all fees, costs, expenses (to the extent unpaid as of the Closing Date) incurred by or on behalf of the Xxxx Xxxx Parties or their Subsidiaries in connection with the negotiation, documentation and consummation of the Transactions, including all of the fees and expenses of legal, accounting, tax, financial and other advisors (and all Taxes payable in connection with such amounts), including the Banking Fees.
Advisor Expenses means the out-of-pocket expenses incurred by the Investment Advisor in connection with the Facility Documents.
Advisor Expenses has the meaning set forth in Section 4.12.
Advisor Expenses means all unpaid expenses payable to the Company’s financial advisor in connection with the Closing of the Transactions.
Advisor Expenses means any out-of-pocket fees that are payable by the Acquired Companies as of immediately prior to the Closing, to the extent incurred in connection with the execution and performance of this Agreement, to any Person that both has provided services to such Acquired Company prior to Closing in connection with the execution and performance of this Agreement and is not an Affiliate of such Acquired Company as of immediately prior to Closing, including attorney fees, financial advisor fees and accountant fees; provided, that Advisor Expenses shall not include any amount included in the calculation of Current Liabilities or Closing Indebtedness.
Advisor Expenses means the aggregate amount of (i) all fees, costs and other expenses of Mxxxxx Sxxxxxx & Co. and (ii) all reasonable and documented fees, costs and other expenses of Dxxxx, Brown, Koehn, Shors & Rxxxxxx, P.C., Bxxxx Xxxx LLP, Husch Bxxxxxxxx LLP and Kanuka Txxxxxxxx LLP, in each case, relating to or arising out of the transactions contemplated by this Agreement and that will be paid or payable by the Company or any of its Subsidiaries.

Related to Advisor Expenses

  • Transfer expenses means all expenses of a transfer that the transfer agreement requires the payee to pay or have deducted from the gross advance amount, including, but not limited to, court filing fees, attorney fees, escrow fees, lien recordation fees, judgment and lien search fees, finders' fees, commissions, and other payments to a broker or other intermediary. Transfer expenses do not include preexisting obligations of the payee that are payable for the payee's account from the proceeds of a transfer.

  • Trust Fund Expenses shall have the meaning assigned to such term in the Lead Securitization Servicing Agreement.

  • Special Servicing Fees shall have the meaning assigned to such term in the Servicing Agreement or such other analogous term used in the Servicing Agreement.

  • Tuition Fees means a sum specified in the Offer Letter, payable by the Student to cover tuition, access to College facilities, enrolment procedures and orientation meetings, use of Information Technology facilities, exam sitting and a Kaplan award on successful completion of the Programme; and

  • Liquidation Expenses With respect to a Mortgage Loan in liquidation, unreimbursed expenses paid or incurred by or for the account of the Master Servicer or the related Servicers, such expenses including (a) property protection expenses, (b) property sales expenses, (c) foreclosure and sale costs, including court costs and reasonable attorneys’ fees, and (d) similar expenses reasonably paid or incurred in connection with liquidation.

  • Realized Losses means, with respect to any Receivable that becomes a Liquidated Receivable, the excess of the Principal Balance of such Liquidated Receivable over Net Liquidation Proceeds to the extent allocable to principal.
