Affidavit of Payment. Means A form required for Final Payment as described in Part II, Section 4.3 and annexed at Appendix F8. “Affidavit of Release of Liens” Means A form required for Final Payment as described in Part II, Section 4.3 and annexed at Appendix F9. “Agencies” Means Any agencies, bureaus, departments, offices, or other discrete entities of The City of New York, the State of New York or the United States that have jurisdiction over any activities carried out in respect of the Work and/or the Project including without limitation, those listed as Other Interested Parties in Part I, Section 8.1, plus the City Community Board(s) that may have an advisory role. The Agencies may include the following: The Art Commission, BPO, DCAS, DCP, DEP, DOB, DOS, DOT, DSBS, FDNY, FHWA, FTA, LPC, MOC, NYCIDA, NYC Parks, NYCTA, NYPD, NYSDEC, NYSDOH, NYSDOT, OMB, OPRHP, PANYNJ, USACOE, USCG, USDOD, USDOT. “Applicable Agreements” Means Various governing agreements related to the Funds, the Project and/or this Contract, including, without limitation, any specific “Applicable Agreements” identified in Part I, Section 7.5 and/or Appendix E and any other governing agreement or MOU with the City, State and/or federal governments, or any agency thereof “Applicable Statutes” Means Any and all federal, state and local laws, statutes, rules, regulations and orders applicable to this Contract, the Funds or the Project, including, without limitation, any specific “Applicable Statutes” identified in Part I, Section 7.4 and/or Appendix D.

  • Guaranty of Payment means each Guaranty of Payment executed and delivered on or after the Closing Date in connection with this Agreement by the Guarantors of Payment, as the same may from time to time be amended, restated or otherwise modified.

  • Request regarding a statement of account means a record authenticated by a debtor requesting that the recipient approve or correct a statement indicating what the debtor believes to be the aggregate amount of unpaid obligations secured by collateral as of a specified date and reasonably identifying the transaction or relationship that is the subject of the request.

  • Endorsement means a written endorsement issued by Us on the Schedule to record any changes to the applicable terms and conditions of this Policy or the details contained in the Schedule. Endorsements shall form a part of this Policy and shall be binding on You and Us. It is agreed that the terms of an Endorsement shall supersede any conflicting provisions in this Policy Document, Rider or Schedule.

  • Certificate of Insurance means a document showing that an insurance policy has been written and includes a statement of the coverage of the policy.

  • Favorable Opinion of Bond Counsel means an opinion of Bond Counsel addressed to the Issuer and the Trustee to the effect that the action proposed to be taken is authorized or permitted by the laws of the Commonwealth and this Indenture and will not, in and of itself, adversely affect any exclusion of interest on the Bonds from gross income of the owners thereof for federal income tax purposes.

  • Transfer Affidavit As defined in Section 5.02(c).

  • Affidavit and Undertaking means the affidavit and undertaking provided by the Bidder substantially in form and manner as annexed in Annexure I hereto;

  • Opinion of Independent Counsel means a written opinion of counsel issued by someone who is not an employee or consultant of the Company or any Guarantor and who shall be acceptable to the Trustee.

  • Accountant's Certificate means an opinion signed by an independent certified public accountant or firm of certified public accountants (which may be the Accountants) from time to time selected by the Issuer.
