Affiliate Employee definition

Affiliate Employee means any person that is (a) an employee of an Affiliate which is not a Subsidiary, directly or indirectly, of the Company, and (b) is not otherwise an Employee.
Affiliate Employee means, with respect to any Person, any other Person who is a director (other than an independent director), officer or employee (1) of such Person, (2) of any subsidiary or parent company of such Person or (3) of any Affiliate.
Affiliate Employee means any person employed by an Affiliate.
