A Regulated Entity will not participate in any Potential Co-Investment Transaction unless the terms, conditions, price, class of securities to be purchased, settlement date, and registration rights will be the same for each participating Regulated Entity and Affiliated Investor.
Each Affiliated Investor and each Regulated Fund will bear its own expenses in connection with any such disposition.
