Aggregate Exercise Amount definition

Aggregate Exercise Amount means the aggregate exercise price of all Company Options outstanding and unexercised as of immediately prior to the Closing.
Aggregate Exercise Amount means the aggregate dollar amount payable to the Company as the purchase price for the exercise of all Company Options (other than Underwater Options).
Aggregate Exercise Amount means the aggregate amount of the per share exercise prices payable for all of the Options outstanding immediately prior to the Effective Time that have an exercise price that is less than the Per Share Merger Consideration.

  • The parties agree that the fee shall be added to the Aggregate Exercise Amount of the Warrant and shall tack back to the Initial Issue Date of the Warrant for purposes of Rule 144.

More Definitions of Aggregate Exercise Amount

Aggregate Exercise Amount means the aggregate per share exercise price of all of the Vested Company Options (including, for the avoidance of doubt, any Vested Company Options that are Vested Substitute Options), in each case outstanding immediately prior to the First Effective Time.
Aggregate Exercise Amount means an amount equal to the sum of the aggregate exercise price of all In-the-Money Options.
Aggregate Exercise Amount means, with respect to all the relevant Option Securities that are subject to this Agreement as of any Dealing Day, an amount in the Base Currency equal to (i) the Aggregate Designation Amount plus (ii) an amount equal to four percent (4%) per annum of the Aggregate Designation Amount calculated (a) on the basis of a 360-day year for the actual number of days involved, and (b) for each day from the Agreement Date up to and including the relevant Option Closing Date.
