Aggregate Option Spread definition

Aggregate Option Spread shall equal the aggregate Option Spread of all applicable Company Options.
Aggregate Option Spread means the total cash-out payment to be made to all holders of Old LLL Options pursuant to this Section 2.11(a) as set forth on Schedule 2.11(a) hereof.
Aggregate Option Spread means the sum of the Spread (as hereinafter defined) for each stock option granted to the Executive under the Plan through December 31, 1998 (each an "Option"). For purposes of this Agreement, the term "Spread" shall mean (i) with respect to each Option exercised prior to the date of a Change of Control, the difference between such Option's exercise price and the closing market price of a share of the Company's common stock ("Common Stock") on the date such Option is exercised and (ii) with respect to each Option not exercised prior to the date of a Change of Control, the difference between such Option's exercise price and the closing market price of the Common Stock on the date of a Change of Control.

  • For purposes of this Agreement, the Rollover Holder’s Aggregate Option Spread shall take into account the aggregate Option Spread of all additional Rollover ISOs the Rollover Holder elects to convert into Converted Options pursuant to this Section 1(e).

Aggregate Option Spread shall equal the product of (A) the excess, if any, of (i) the Per Share Merger Consideration Value over (ii) the exercise price per Company Common Share subject to such Vested Company Option, multiplied by (B) the number of Company Common Shares subject to such Vested Company Option. The Parent Vested RSUs shall be granted as soon as practicable following effective registration of shares of Parent Common Stock to be issued under the 2021 Equity Incentive Plan on a Form S-8 registration statement (or other appropriate form). Each Parent Vested RSU shall entitle the holder thereof to receive one share of Parent Common Stock that shall be delivered, subject to any applicable tax or withholding obligations, as soon as practicable following the expiration of any applicable Lock-Up Agreement(s), but in no event later than December 31, 2021.

  • Aggregate Option Exercise Price means, as of any date of determination, the sum of the exercise prices payable upon exercise in full of all Vested Options held by all Optionholders immediately prior to the Effective Time, based on the Estimated Merger Consideration or the Final Adjusted Merger Consideration, as applicable.

  • Aggregate Revolving Commitment Amount means the aggregate principal amount of the Aggregate Revolving Commitments from time to time. On the Closing Date, the Aggregate Revolving Commitment Amount is $300,000,000.
