More Definitions of Agreement Motion

Agreement Motion means the motion and supporting papers to be filed by the Aquilex Parties with the Bankruptcy Court seeking entry of the Agreement Order and requesting (among other things) that the Bankruptcy Court approve the Aquilex Parties’ entry into and performance under this Agreement and authorizing the Aquilex Parties to pay all (and, if applicable, ratifying the prior payment of any) fees and expenses in connection with this Agreement, including the payment of the Backstop Commitment Fee and any other amounts payable under Sections 1.5, 4.10 and 5.2, as such motion may be amended, supplemented or otherwise modified from time to time.
Agreement Motion means the motion to be filed by the Debtors with the Bankruptcy Court requesting (among other things) that the Bankruptcy Court approve the Debtors’ entry into and performance under this Agreement and authorizing the Debtors to pay all fees and expenses in connection with this Agreement, as such motion may be amended, supplemented or otherwise modified from time to time.

  • DIP Motion means the motion and proposed form of Interim DIP Order filed by the Loan Parties with the Bankruptcy Court on the Petition Date or as soon as reasonably practicable thereafter seeking approval, on an interim and final basis, of (among other things) the DIP Facility, and authorization for the use of cash collateral (including such terms and conditions relating to adequate protection in connection therewith), in each case, in form and substance acceptable to the Agent and the Required Lenders.
