Akebia Reserved Disputes definition

Akebia Reserved Disputes means any dispute of the [***] with respect to matters within the [***] jurisdiction that is not resolved following escalation to the [***] (if applicable) and the [***] related to (a) the [***] of the Licensed Compound or the Licensed Products in the Territory in accordance with [***], (b) the [***] for each Licensed Product and [***] for use in the Territory, (c) any [***] of the Licensed Compound or the Licensed Products (other than [***]), including (i) whether to [***], and

Akebia Reserved Disputes means any dispute of the [***] with respect to (a) the Development of the Licensed Compound or the Licensed Products (including [***]), (b) [***] relating to the Licensed Compound or any Licensed Product, (c) [***] of the Licensed Compound or the Licensed Products in the Territory in accordance with [***], including with respect to [***] (subject to Section [***]), (d) pricing strategy and [***] (to the extent applicable in any country in the Territory) for each Licensed Product in the Territory, (e) activities related to [***] (or any updates or amendments thereto) (excluding the [***]), (f) [***] for each Licensed Product and [***] for use in the Territory, and (g) all [***]; provided, however, that if (i) Akebia [***], then an Akebia Reserved Dispute will not include any dispute regarding [***], or (ii) [***], an Akebia Reserved Dispute will not include any dispute regarding [***] pursuant to Section [***].

Related to Akebia Reserved Disputes

  • Expedited Dispute Timetable means the timetable set out in paragraph 164 of Call Off Schedule 11 (Dispute Resolution Procedure);

  • contributory employment and support allowance means an allowance under Part 1 of the Welfare Reform Act 2007 as amended by the provisions of Schedule 3, and Part 1 of Schedule 14, to the Welfare Reform Act 2012 that remove references to an income-related allowance and a contributory allowance under Part 1 of the Welfare Reform Act 2007 as that Part has effect apart from those provisions;

  • Technical Dispute has the meaning specified in Section 12.2;

  • Closed panel plan means a plan that provides health benefits to covered persons primarily in the form of services through a panel of providers that have contracted with or are employed by the plan, and that excludes benefits for services provided by other providers, except in cases of emergency or referral by a panel member.

  • Labor dispute as used here, means a strike, lockout, or other labor dispute between the Employer and its Employees, during which time the Employee is not paid by the Employer.

  • Resolved With respect to a Repurchase Request, means that (i) the related Material Defect has been cured, (ii) the related Mortgage Loan has been repurchased in accordance with the related Mortgage Loan Purchase Agreement, (iii) a mortgage loan has been substituted for the related Mortgage Loan in accordance with the related Mortgage Loan Purchase Agreement, (iv) the applicable Mortgage Loan Seller has made a Loss of Value Payment, (v) a contractually binding agreement has been entered into between the Enforcing Servicer, on behalf of the Trust, and the related Mortgage Loan Seller that settles the related Mortgage Loan Seller’s obligations under the related Mortgage Loan Purchase Agreement, or (vi) the related Mortgage Loan is no longer property of the Trust as a result of a sale or other disposition in accordance with this Agreement.
