Alamos Meeting definition

Alamos Meeting means the special meeting, including any adjournments or postponements thereof, of the Alamos Shareholders to be held to consider, among other things, and, if deemed advisable, to approve, the Alamos Continuance Resolution and the Alamos Arrangement Resolution;
Alamos Meeting means the annual and extraordinary general meeting of holders of Alamos Common Shares to be held on or about January 24, 2003 to consider and if deemed advisable, to approve, the Amalgamation and this Agreement;
Alamos Meeting means the special meeting, including any adjournments or postponements thereof, of the Alamos Shareholders to be held to consider, among other things, and, if deemed advisable, to approve the Alamos Continuance Resolution and the Alamos Arrangement Resolution; - 2 -

Examples of Alamos Meeting in a sentence

  • For greater certainty, no Alamos Change in Recommendation shall relieve Alamos from its obligation to proceed to call and hold the Alamos Meeting and to hold the vote on the Alamos Resolution (provided that, except as required under applicable Laws, Alamos shall be relieved from its obligations to actively solicit proxies in favour of the Alamos Resolution in such circumstances), except in circumstances where this Agreement is terminated in accordance with the terms hereof.

  • The Parties will use their respective commercially reasonable efforts to schedule the Richmont Meeting and the Alamos Meeting on the same day.

  • Alamos shall not adjourn, postpone or cancel the Alamos Meeting (or propose to do so), except: (i) in the case of an adjournment, if quorum is not present at the Alamos Meeting; (ii) in the case of an adjournment or postponement, for any bona fide reason entirely beyond the control of Alamos, acting in good faith, provided that such reason is not related in any manner whatsoever to an Acquisition Proposal; (iii) if required by applicable Laws; or (iv) if otherwise agreed with Richmont.

  • The Parties shall prepare and mail a joint management information circular for the Richmont Meeting and the Alamos Meeting in lieu of each Party preparing and mailing its own information circular.

  • The Parties consent to the disclosure of the substance of this Agreement in any press release required by applicable Laws or any circular relating to the Alamos Meeting and to the filing of this Agreement as may be required pursuant to applicable Laws.

  • Business of the Alamos MeetingAs set out in the Alamos Notice of Special Meeting, at the Alamos Meeting, Alamos Shareholders will be asked to consider and vote on the Alamos Share Issuance Resolution.Alamos Shareholder approval is required in connection with the Arrangement by the rules and regulations of the TSX.

  • The pro forma adjustments are based upon the assumptions described in the notes to the unaudited pro forma financial statements, including that the AuRico Shareholders approve the AuRico Arrangement Resolution at the AuRico Meeting, Alamos Shareholders approve the Alamos Resolutions at the Alamos Meeting and the Arrangement is completed.

  • In order to become effective, the Alamos Arrangement Resolution will require: (i) the affirmative vote of at least 66[X]% of the votes cast by the Alamos Shareholders, voting together as a single class, who vote in person or by proxy at the Alamos Meeting; and (ii) the affirmative vote of at least a simple majority of the votes cast by Alamos Shareholders voting together as a single class, who vote in person or by proxy at the Alamos Meeting, after excluding the Alamos Excluded Votes.

  • Any amendment, modification or supplement to this Plan of Arrangement that is approved or directed by the Court following the AuRico Arrangement Meeting or Alamos Meeting shall be effective only if (i) it is consented to in writing by each of AuRico and Alamos (in each case, acting reasonably), and (ii) if required by the Court, it is consented to by AuRico Shareholders or Alamos Shareholders, as applicable, voting in the manner directed by the Court.

  • A Registered Alamos Shareholder wishing to exercise Dissent Rights in respect of the Alamos Continuance or the Arrangement with respect to such holder’s Alamos Shares shall not vote such Alamos Shares at the Alamos Meeting, either by the submission of a proxy or by personally voting, for the Alamos Continuance Resolution or the Alamos Arrangement Resolution, as applicable.

Related to Alamos Meeting

  • Open meeting or "public meeting" means a meeting at which the public may be present.

  • Shareholders Meeting shall have the meaning set forth in Section 5.1.

  • Shareholder Meeting means a meeting of the Company’s shareholders.

  • Court Meeting means the meeting(s) of the Scheme Shareholders to be convened by order of the Court pursuant to section 896 of the Companies Act, notice of which will be set out in the Scheme Document, for the purpose of approving the Scheme, including any adjournment thereof;

  • Company Meeting means the special meeting of Company Shareholders, including any adjournment or postponement of such special meeting in accordance with the terms of the Arrangement Agreement, to be called and held in accordance with the Interim Order to consider the Arrangement Resolution.

  • Stockholder Meeting means each annual or special meeting of stockholders of the Company, or any other meeting of stockholders held in lieu thereof, and any adjournment, postponement, reschedulings or continuations thereof; (k) the term “Synthetic Equity Interests” means any derivative, swap or other transaction or series of transactions engaged in by such person, the purpose or effect of which is to give such person economic risk similar to ownership of equity securities of any class or series of the Company, including due to the fact that the value of such derivative, swap or other transactions are determined by reference to the price, value or volatility of any shares of any class or series of the Company’s equity securities, or which derivative, swap or other transactions provide the opportunity to profit from any increase in the price or value of shares of any class or series of the Company’s equity securities, without regard to whether (i) the derivative, swap or other transactions convey any voting rights in such equity securities to such person; (ii) the derivative, swap or other transactions are required to be, or are capable of being, settled through delivery of such equity securities; or (iii) such person may have entered into other transactions that hedge or mitigate the economic effect of such derivative, swap or other transactions; and (l) the term “Third Party” refers to any person that is not a Party, a member of the Board, a director or officer of the Company, or legal counsel to any Party. In this Agreement, unless a clear contrary intention appears, (i) the word “including” (in its various forms) means “including, without limitation;” (ii) the words “hereunder,” “hereof,” “hereto” and words of similar import are references in this Agreement as a whole and not to any particular provision of this Agreement; (iii) the word “or” is not exclusive; (iv) defined terms used in the singular include the plural and vice versa; and (v) references to “Sections” in this Agreement are references to Sections of this Agreement unless otherwise indicated.

  • Stockholders Meeting shall have the meaning set forth in Section 6.2(c).

  • Holders’ Meeting means a meeting among the Holders held in accordance with Clause 17 (Holders’ Meeting).

  • Scoping meeting means a meeting between representatives of the applicant and the EDU conducted for but not limited to the following purposes:

  • Special Meeting means a special meeting of the holders of Voting Shares, called by the Board of Directors for the purpose of approving a supplement or amendment to this Agreement pursuant to Subsection 5.4(b);

  • ordinary meeting means a meeting held by determination of the Board (SER r.115(1)).

  • hybrid meeting means a general meeting convened for the (i) physical attendance by shareholders and/or proxies at the Principal Meeting Place and where applicable, one or more Meeting Locations and (ii) virtual attendance and participation by shareholders and/or proxies by means of electronic facilities;

  • relevant meeting means a meeting of the authority to consider whether or not to approve a proposal to dismiss a relevant officer; and

  • Public meeting means a meeting that is required to be open to the public under Title 52, Chapter 4, Open and Public Meetings Act.

  • meeting of shareholders means an annual meeting of shareholders or a special meeting of shareholders;

  • Board Meeting means a meeting of the Board;

  • Review Meeting means a meeting to be held in accordance with clause B19 (Review Meetings) or as otherwise requested in accordance with clause B19.2 (Review Meetings)

  • Meeting means any meeting of:

  • Inaugural Meeting means the first meeting of a newly elected BOARD to be held following a municipal election and the commencement of the term of office;

  • Bondholders’ Meeting means a meeting among the Bondholders held in accordance with Clause 17 (Bondholders’ Meeting).

  • Company Shareholders Meeting shall have the meaning set forth in Section 5.2(b).

  • Scheme Meeting means the meeting or meetings of the INM Shareholders or, if applicable, any class or classes of INM Shareholders (including as may be directed by the High Court pursuant to Section 450(5) of the Act) (and any adjournment of any such meeting or meetings) convened by (i) resolution of the INM Board or (ii) order of the High Court, in either case pursuant to Section 450 of the Act, to consider and vote on the Scheme Meeting Resolution;

  • General Meeting means the annual or any special general meeting of the Association.

  • Company Shareholder Meeting has the meaning set forth in Section 5.13(b).

  • Annual Meeting means the annual meeting of the stockholders of the Company.
