Alliance Compound definition

Alliance Compound means the antibody known as MSB0010718C referred to by the Alliance as “avelumab”.
Alliance Compound means any Aventis Compound that, following High Throughput Screening, Secondary Screening and/or Chemical Optimization, is identified as a Nicotinic Compound, meets the standard set forth in the Research and Development Plan, and is nominated by the SRC or otherwise by Aventis as a “Lead” or otherwise to be further pursued as an Alliance Compound under the terms and conditions of this Agreement. For the avoidance of doubt, (i) all compounds within the same compound series as an Alliance Compound shall also be Alliance Compounds, (ii) all Alliance Development Compounds and Alliance Back-Up Compounds shall also be Alliance Compounds and (iii) an Alliance Terminated Compound shall no longer be an Alliance Compound.

Examples of Alliance Compound in a sentence

  • Under a separate agreement between Merck and Pfizer the Alliance is developing the Alliance Compound (as defined below) for the treatment of certain tumor types.

  • Syndax shall be responsible for (a) storage and maintenance of the Alliance Compound until it is tested and/or released, which storage and maintenance shall be in compliance with the Specifications for the Alliance Compound, the Clinical Quality Agreements and Applicable Law; and (b) any failure of the Alliance Compound to meet the Specifications to the extent caused by shipping, storage or handling conditions after Delivery to Syndax hereunder.

  • A certificate of analysis shall accompany each shipment of the Alliance Compound to Syndax.

  • Based upon the standards set forth in the Research and Development Plan and such other criteria as the Parties may mutually agree, the ARC shall determine which of these Nicotinic Compounds shall be recommended to the SRC for nomination as an Alliance Compound, if any.

  • Syndax shall, within the time defined in the Clinical Quality Agreements, perform (i) with respect to the Alliance Compound, the acceptance procedures allocated to it under the Clinical Quality Agreements, and (ii) with respect to the Syndax Compound, the testing and release procedures allocated to it under the Clinical Quality Agreements.

  • After Manufacturer’s Release of the Alliance Compound and concurrently with Delivery of the Compound to Syndax, The Alliance shall provide Syndax with such certificates and documentation as are described in the Clinical Quality Agreements (“Disposition Package”).

  • Copies of all Serious Adverse Event (SAE) and adverse event reports and other information arising from any aspect of the Study where a patient has been exposed to the Alliance Compound will be sent to the Alliance in accordance with the Safety Data Exchange Agreement.

  • In the event that Alliance Compound is lost or damaged after Delivery, the Alliance may provide additional Alliance Compound to Syndax, if available for the Study.

  • Syndax shall take all steps necessary in its reasonable discretion to determine that the Alliance Compound or Syndax Compound, as applicable, is suitable for release before making such Alliance Compound or Syndax Compound, as applicable, available for human use, and the Alliance shall provide cooperation or assistance as reasonably requested by Syndax in connection with such determination with respect to the Alliance Compound.

  • The Alliance shall provide pharmacokinetics and anti-drug antibody data regarding the Alliance Compound to Syndax ***.

Related to Alliance Compound

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid a quantity soluble lead compound exceeding, when calculated as lead monoxide, five percent of the dry weight of the portion taken analysis.

  • Licensed Compound means [***].

  • Development Candidate means a Compound that meets the Development Candidate Criteria for the initiation of a Development Program for the treatment of CF, and which is the subject of a notice from Vertex to CFFT that Vertex intends to commence formal pre-clinical development of the Compound in the Field pursuant to the provisions of Section 3.1 hereof.

  • Collaboration Target means the Initial Collaboration Targets set forth on Exhibit F and any Additional Target or Substitute Target that is selected in accordance with Section 3.3 of this Agreement.

  • Licensed Compounds means: (a) Research Program Active Compounds; (b) Novartis Active Compounds; (c) salts, hydrates, solvates, esters, metabolites, intermediates, stereoisomers and polymorphs of Research Program Active Compounds or Novartis Active Compounds; and (d) prodrugs of Research Program Active Compounds or Novartis Active Compounds (any of the foregoing, a “Licensed Compound”).

  • Collaboration Product means a pharmaceutical product containing or comprising Compound in any dosage form alone, or in combination with, one or more other pharmaceutically active ingredients, and any and all Improvements thereto.

  • Product Candidate means any pharmaceutical product developed, manufactured and/or tested by or on behalf of the Company that has not received a Regulatory Authorization for commercial distribution other than in connection with pre-clinical or clinical trials.

  • Compound means the taking of two or more ingredients and fabricating them into a single

  • Commercialization or “Commercialize” means activities directed to marketing, promoting, research and development as required, manufacturing for sale, offering for sale, distributing, importing or selling a product, including sub-licensing or sub-contracting of these activities.

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.

  • Commercializing means to engage in Commercialization and “Commercialized” has a corresponding meaning.

  • Collaboration has the meaning set forth in Section 2.1.

  • Commercialization Plan has the meaning set forth in Section 6.2.

  • Licensed Product means a product or part of a product in the Licensed Field of Use: (A) the making, using, importing or selling of which, absent this license, infringes, induces infringement, or contributes to infringement of a Licensed Patent; or (B) which is made with, uses or incorporates any Technology.

  • Hemp product means the same as that term is defined in § 3.2-4112.

  • Collaborating physician means the physician who,

  • Companion Diagnostic means a device which is essential for the safe and effective use of a corresponding medicinal product to:

  • Collaboration Patent Rights means Patent Rights claiming Collaboration Know-How.
