Unless Seller delivers the Section 336(e) Allocation Notice of Objection to Purchaser within the Section 336(e) Allocation Review Period, Seller shall be deemed to have accepted the determinations set forth in the Section 336(e) Allocation.
If the Seller disagrees with any of the Purchaser’s determinations set forth in the Allocation Schedule, the Seller shall, on or prior to the last day of the Allocation Review Period, deliver a written notice to the Purchaser (the “Allocation Notice of Objection”), setting forth its objections.
