Alternate Exercise Price definition

Alternate Exercise Price means the exercise price to be paid by the Transferee to the Transferor in respect of the Option Shares issued to the Transferee as set forth opposite his name in Schedule A in the event that the Performance Targets (as defined herein) have been met by the Group;
Alternate Exercise Price means, with respect to any Alternate Exercise that price which shall be the lowest of (i) the applicable Exercise Price as in effect on the applicable Exercise Date of the applicable Alternate Exercise, (ii) 70% of the lowest Closing Sale Price of the Common Stock during the twenty (20) consecutive Trading Day period ending and including the date of delivery or deemed delivery of the applicable Exercise Notice (such period, the “Alternate Exercise Measuring Period”). All such determinations to be appropriately adjusted for any stock dividend, stock split, stock combination, reclassification or similar transaction that proportionately decreases or increases the Common Stock during such Alternate Exercise Measuring Period.
Alternate Exercise Price means, with respect to any Alternate Exercise that price which shall be the lower of (i) the applicable Exercise Price as in effect on the applicable Exercise Date of the applicable Alternate Exercise and (ii) 75% of the lower of (A) the Closing Bid Price as of the Trading Day immediately preceding the delivery or deemed delivery of the applicable Exercise Notice and (B) the price computed as the quotient of (I) the sum of the three lowest VWAPs of the Common Stock during the ten (10) consecutive Trading Day period ending and including the Trading Day immediately preceding the delivery or deemed delivery of the applicable Exercise Notice, divided by (II) three (3) (such period, the “Alternate Exercise Measuring Period”). All such determinations to be appropriately adjusted for any stock dividend, stock split, stock combination, reclassification or similar transaction that proportionately decreases or increases the Common Stock during such Alternate Exercise Measuring Period.

Alternate Exercise Price means, with respect to any Alternate Exercise that price which shall be the lower of (i) the applicable Exercise Price as in effect on the applicable Exercise Date of the applicable Alternate Exercise and (ii) the greater of (x) the Floor Price (as defined in the Notes) and (y) 75% of the lowest VWAPs of the Common Shares during the fifteen (15) consecutive Trading Day period ending and including the Trading Day immediately preceding the delivery or deemed delivery of the applicable Exercise Notice (such period, the “Alternate Exercise Measuring Period”). All such determinations to be appropriately adjusted for any share dividend, share split, share combination, reclassification or similar transaction that proportionately decreases or increases the Common Shares during such Alternate Exercise Measuring Period.
Alternate Exercise Price means a price equal to (x) if the applicable Average VWAP Price is less than $1.00, that price computed as 85% of the applicable Average VWAP Price and (y) otherwise, that price computed as 90% of the applicable Average VWAP Price.   • Aggregate Exercise Price means an amount equal to the product of (a) the number of Warrant Shares in respect of which this Warrant is then being exercised pursuant to Section 3 hereof, multiplied by (b) the Exercise Price.
