Alternative Facility definition

Alternative Facility means any revolving credit facility, working capital facility, Permitted Securitization or accounts receivable facility (other than a Permitted Factoring) (including letters of credit and reimbursement obligations with respect thereto and Interest Rate Agreements and/or Currency Agreements secured hereunder) incurred by any Subsidiary of Holdings (or Securitization Subsidiary) and, if applicable, secured solely by Alternative Facility Liens that are permitted to be incurred hereunder; provided, no later than the date that is 30 days after the date on which such Indebtedness is incurred by any such Subsidiary, such Indebtedness is designated by Holdings or Tronox US, in a certificate of an Authorized Officer delivered to Administrative Agent, as “Alternative Facility Debt.”
Alternative Facility means (i) one or more debt facilities or other financing arrangements with banks or other institutional lenders providing for revolving credit loans, term loans, receivables financing (including through the sale of receivables to such lenders or to special purpose entities formed to borrow from such lenders against such receivables) or letters of credit Incurred by any Subsidiary of Parent and secured solely by Liens upon one or more assets comprising collateral (A) of the relevant Subsidiary of Parent that is an obligor or provides credit support to such obligor under the relevant Alternative Facility and (B) that secures the ABL Facility, in each case, as amended, restated, modified, renewed, refunded, replaced or refinanced in whole or in part from time to time and (ii) any Credit Facility.
Alternative Facility means any alternative hospitality facility at the Event that ASM makes available to the Client or any Client Party in the circumstances described in clause 4.3;

Examples of Alternative Facility in a sentence

  • If the use of the proposed Alternative Facility is anticipated to or actually 569 does exceed thirty (30) days in a consecutive twelve (12) month period, the use of such 570 Processing Facility shall be subject to approval by the City Franchise Contract Administrator.

More Definitions of Alternative Facility

Alternative Facility means a facility selected by SATC and offered to the Client in place of a Facility, in accordance with clause 6.

Alternative Facility means (i) any note purchase agreement entered into between the Sellers and Steamboat Funding Corporation, (ii) the GCM Repurchase Facility, (iii) the GCFP Repurchase Facility, and (iv) any financing, purchase, note purchase, repurchase or similar facility (other than the facility created by this Agreement) entered into between (a) the Buyer and the Sellers (or any of their Affiliates or Subsidiaries), or (b) the Sellers (or any of their Affiliates or Subsidiaries) and any other entity which is introduced to the Sellers (or any of their Affiliates or Subsidiaries) by the Buyer and which facility is arranged by the Buyer;
