Lead Agent has the meaning given to it above;
DIP Agents means the DIP ABL Agent and the DIP Term Loan Agent.
Managing Agents as defined in the preamble hereto.
Designated Agent means any entity that performs actions or functions on behalf of the Transmission Provider, a Transmission Owner, an Eligible Customer, or the Transmission Customer required under the Tariff.
Contractor Agents means Contractor's representatives, employees, officers, Subcontractors, as well as their employees, contractors, officers, and agents.
Administrative Agent-Related Persons means Administrative Agent, its Affiliates, and the officers, directors, employees, agents and attorneys-in-fact of the Administrative Agent and its Affiliates.
Administrative Agents means the Administrative Agent and the Canadian Administrative Agent.
Managing general agent or "MGA" means any person, firm, association or corporation who manages all or part of the insurance business of an insurer, including the management of a separate division, department or underwriting office, and acts as an agent for such insurer whether known as a managing general agent, manager or other similar term, who, with or without the authority, either separately or together with affiliates, produces, directly or indirectly, and underwrites an amount of gross written premium equal to or more than 5% of the policyholder surplus as reported in the last annual statement of the insurer in any one quarter or year together with one or more of the following:
Collateral Agents means the Credit Agreement Collateral Agent, the Initial Additional First Lien Collateral Agent and each Additional Collateral Agent.
Senior Managing Agents means the banks listed on Schedule 1 hereto, in their capacity as senior managing agents of the credit facility hereunder.
Co-Agents has the meaning provided in the preamble of this Agreement.
Agents means, collectively, the Administrative Agent and the Collateral Agent.
tied agent means a natural or legal person who, under the full and unconditional responsibility of only one investment firm on whose behalf it acts, promotes investment and/or ancillary services to clients or prospective clients, receives and transmits instructions or orders from the client in respect of investment services or financial instruments, places financial instruments or provides advice to clients or prospective clients in respect of those financial instruments or services;
Second Lien Administrative Agent means the “Administrative Agent” as defined in the Second Lien Credit Agreement.
Health agent means the Health Agent for the Wellesley Board of Health or his/her designee.
Term Agent shall have the meaning assigned to that term in the introduction to this Agreement and shall include any successor thereto as well as any Person designated as the “Agent”, “Administrative Agent”, “Collateral Agent”, “Trustee”, “Collateral Trustee” or similar term under any Term Credit Agreement.
Titled Agents means each of the Syndication Agents, the Documentation Agents, and the Arrangers, and their respective successors and permitted assigns.
DIP Agent means the administrative agent for the DIP Lenders as defined in the DIP Credit Agreement.
Collateral Agent as defined in the preamble hereto.
Other Representatives the Syndication Agents, and the Lead Arrangers.
Supplemental Administrative Agents shall have the corresponding meaning.
ABL Administrative Agent means Bank of America in its capacity as administrative agent and collateral agent under the ABL Facilities Documentation, or any successor administrative agent and collateral agent under the ABL Facilities Documentation.
Agent’s Group has the meaning specified in Section 8.02(b).
the Agent means the estate agency described at paragraph 5 of the Schedule;
First Lien Administrative Agent means the “Administrative Agent” as defined in the First Lien Credit Agreement.
Athlete agent means an individual who enters into an agency contract with a student-athlete or, directly or indirectly, recruits or solicits a student-athlete to enter into an agency contract. The term includes an individual who represents to the public that the individual is an athlete agent. The term does not include a spouse, parent, sibling, grandparent, or guardian of the student-athlete or an individual acting solely on behalf of a professional sports team or professional sports organization;
