Appreciation Units definition

Appreciation Units means an appreciation unit granted to a Grantee pursuant to the 2015 Plan, comprising the rights granted to a Grantee under the 2015 Plan including the right of certain Grantees to acquire Shares as set forth in Award Agreements entered into as contemplated under the 2015 Plan, subject to terms and conditions of this 2015 Plan.
Appreciation Units previously awarded to the Executive under the terms of the Company’s Discovery Appreciation Plan (“DAP”) shall be paid to the Executive, following his earning a vested right to the Appreciation Units, in accordance with the terms of DAP, provided that, regardless of how the Company determines “Ending Unit Value” (as defined in the DAP) for other DAP participants, the “Ending Unit Value” of such Appreciation Units shall be determined without application of the 110% multiplier referred to in the DAP’s definition of “Ending Unit Value.”

  • Realized and unrealized gains and losses on equity derivatives used to offset the change in share prices in respect of vested Deferred Share Units and Restricted Share Appreciation Units are recorded together with the corresponding compensation expense.

  • In the event that the number of outstanding shares of Common Stock of Holdings is increased by reason of a stock dividend or a stock split, the number of Appreciation Units granted to the Executive in Paragraph 1 shall be proportionately increased and the dollar amounts set forth in clauses (b)(I) and (II) of Xxxxxxxxxx 0, 0, 0, xxx 0 xxxxx xx proportionately decreased for the purpose of computing the amount, if any, payable to the Executive pursuant to this agreement.

  • The Board may set limits on the number of Appreciation Units that may be granted to any Person or class of Persons.

  • For greater certainty, the number of Appreciation Units to which a particular Grantee is entitled shall be fixed on or prior to the Date of Grant and be specified in the Award Agreement.

  • For the purposes hereof if a Grantee shall cease to be an Employee and shall be an independent contractor, all Appreciation Units which have vested shall be deemed to have matured on the date that the Grantee shall cease to be an Employee.

  • As a condition of a grant or exercise or redemption of any Appreciation Units or payment thereof on maturity, a Grantee (or the Grantee’s beneficiary or legal representative) will pay to the appropriate Participating Company any amount required to be withheld, or to execute such other documents as the Board deems necessary or desirable in connection with the satisfaction of any applicable withholding obligation.

  • Notwithstanding the foregoing, in no event shall an approved leave of absence result in Appreciation Units surviving beyond the Maturity Date.

  • All Appreciation Units shall be deemed to have matured on the date of termination.

  • Unless otherwise provided in an Award Agreement all rights of a Grantee to Appreciation Units shall be forfeited on a termination for “cause”.

Related to Appreciation Units

  • Appreciation Award means any Award under this Plan of any Stock Option, Stock Appreciation Right or Other Stock-Based Award, provided that such Other Stock-Based Award is based on the appreciation in value of a share of Common Stock in excess of an amount equal to at least the Fair Market Value of the Common Stock on the date such Other Stock-Based Award is granted.

  • Phantom Stock means a right granted to an Eligible Individual under Section 12 representing a number of hypothetical Shares.

  • Appreciation Right means a right granted pursuant to Section 5 of this Plan, and shall include both Tandem Appreciation Rights and Free-Standing Appreciation Rights.

  • Share Appreciation Right means the right pursuant to an Award granted under Section 8 below to receive an amount equal to the excess, if any, of (i) the aggregate Fair Market Value, as of the date such Award or portion thereof is surrendered, of the Shares covered by such Award or such portion thereof, over (ii) the aggregate Exercise Price of such Award or such portion thereof.

  • Share Units means the hypothetical Shares that are credited to the Share Unit Accounts in accordance with Section 5.3.

  • SARS means the South African Revenue Service.

  • Phantom Shares means an Award of the right to receive Shares issued at the end of a Restricted Period which is granted pursuant to Section 6(e) of the Plan.

  • Phantom Stock Award means an Award granted under Paragraph X of the Plan.

  • Phantom Stock Award Agreement means a written agreement between the Company and a Holder with respect to a Phantom Stock Award.

  • Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • Performance Units means an Award which may be earned in whole or in part upon attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • Tandem Stock Appreciation Right means the right to surrender to the Company all (or a portion) of a Stock Option in exchange for an amount in cash and/or stock equal to the difference between (i) the Fair Market Value on the date such Stock Option (or such portion thereof) is surrendered, of the Common Stock covered by such Stock Option (or such portion thereof), and (ii) the aggregate exercise price of such Stock Option (or such portion thereof).

  • Stock Bonus Award means an Award granted under Section 10 of this Plan.

  • Stock Units means investment units under the Deferred Delivery Plan, each of which is deemed to be equivalent to one share of Stock.

  • Performance Share Award means an Award entitling the recipient to acquire shares of Stock upon the attainment of specified Performance Goals.

  • Plan Share Award means a right granted under this Plan to receive Plan Shares.

  • SAR means a stock appreciation right granted under the Plan.

  • Phantom means a volume of material behaving in a manner similar to tissue with respect to the attenuation and scattering of radiation. This requires that both the atomic number (Z) and the density of the material be similar to that of tissue.

  • Unit Award means a grant of a Unit that is not subject to a Restricted Period.

  • Full Value Award means an Award other than in the form of an ISO, NQSO, or SAR, and which is settled by the issuance of Shares.

  • Non-Tandem Stock Appreciation Right means the right to receive an amount in cash and/or stock equal to the difference between (x) the Fair Market Value of a share of Common Stock on the date such right is exercised, and (y) the aggregate exercise price of such right, otherwise than on surrender of a Stock Option.

  • Deferred Stock Award means Awards granted pursuant to Section 8.

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Other Stock Award Agreement means a written agreement between the Company and a holder of an Other Stock Award evidencing the terms and conditions of an Other Stock Award grant. Each Other Stock Award Agreement will be subject to the terms and conditions of the Plan.
