Appreciation Unit definition

Appreciation Unit means the right to receive, in accordance with the provisions of the Plan, a payment based on the appreciation, if any, in the value of DCI during the relevant Appreciation Period.

Appreciation Unit means an appreciation unit granted to a Grantee pursuant to Section 6 of this 2017 Plan, comprising the rights granted to a Grantee under this 2017 Plan including the right of certain Grantees to acquire Shares as set forth in Award Agreements entered into as contemplated hereunder subject to terms and conditions of this 2017 Plan.

Appreciation Unit means a notional unit representing a contractual right to receive the positive difference, if any, of the Maturity Value of the unit on its Maturity Date minus the Base Value assigned to such unit.

Examples of Appreciation Unit in a sentence

• No Appreciation Unit may be transferred, encumbered, pledged or alienated in any way other than by will or by the laws of succession, and during a Grantee’s lifetime an Appreciation Unit may be exercised only by the Grantee.

• A Stock Appreciation Unit Award shall terminate as of the earlier of (i) the date of exercise of Award, to the extent that it is exercised, or (ii) the expiration date specified in the Agreement with respect to such Award.

• If an unexercised Stock Appreciation Unit Award is otherwise exercisable on the date that it expires, and if the Fair Market Value of Stock with respect to which it was granted, determined as of the date of such expiration, exceeds the Exercise Price of the Units (under such Award as set forth in the Stock Appreciation Unit Agreement), then the Award shall automatically be deemed to have been exercised as of the date of such expiration.

• Upon the exercise of a Stock Appreciation Unit Award, a Participant shall be entitled to receive the excess of the Fair Market Value of a share of Stock over the Exercise Price of a Unit with respect to each Unit exercised.

• Stock Appreciation Unit Awards may be exercised by the Participant only at such time or times, and only upon such terms and conditions, as shall be set forth in the Agreement relating to such Stock Appreciation Unit Award.

More Definitions of Appreciation Unit

Appreciation Unit means an award to be paid in Shares as set forth in Section 5.

Appreciation Unit shall have the meaning set forth in Section 2.4(b).

Appreciation Unit means a notional interest granted under the Plan, with each such Appreciation Unit representing a right to receive payment of a proportionate interest of each Appreciation Pool or the Change in Control Appreciation Pool, as applicable, subject to the terms, conditions, restrictions and limitations set forth herein and in the applicable Award Agreement.

Appreciation Unit means a Unit representing an interest in the Profit (as defined in the Operating Agreement), Loss (as defined in the Operating Agreement) and distributions of the Company in excess of the applicable Threshold Amount for such Appreciation Unit and having the rights and obligations specified with respect to the Appreciation Units in the Operating Agreement. Appreciation Units are intended to be issued and qualify as “profits interests,” as defined in IRS Revenue Procedures 93-27 and 2001-43 and the provisions of this Plan relating to Appreciation Units shall be interpreted, applied and reported consistent with such intent.

Appreciation Unit means an appreciation unit granted to a Grantee pursuant to Section 6 of this 2014 Plan, comprising the rights granted to a Grantee under this 2014 Plan including the right of certain Grantees to acquire Shares as set forth in Award Agreements entered into as contemplated hereunder subject to terms and conditions of this 2014 Plan.

Appreciation Unit means a unit granted pursuant to the terms of this Award, having the rights provided for herein and in such Award.

Appreciation Unit has the meaning set forth in the Truist Insurance Holdings, LLC Appreciation Unit Plan.
