Arm Group definition

Arm Group means Arm Limited, a company incorporated in England (UK), and its Subsidiaries from time to time.

Arm Group means Arm, its Subsidiaries and holding companies from time to time, and the Subsidiaries of any holding company of Arm from time to time. A reference to a holding company of Arm means a company wherever incorporated (or persons acting on its behalf) that directly or indirectly holds or controls either: (a) a majority of the voting rights exercisable at shareholder meetings of Arm; or (b) the right to appoint or remove a majority of Arm’s board of directors.

Arm Group means Arm Limited whose registered office is situated at 110 Fulbourn Road, Cambridge, CB1 9NJ (“Arm Limited”), its Subsidiaries and holding companies from time to time, and the Subsidiaries of any holding company of Arm Limited from time to time. A reference to a holding company of Arm Limited means a company wherever incorporated (or persons acting on its behalf) that directly or indirectly holds or controls either: (a) a majority of the voting rights exercisable at shareholder meetings of Arm; or (b) the right to appoint or remove a majority of Arm Limited’s board of directors.

Examples of Arm Group in a sentence

• Each party may disclose Confidential Information to its Subsidiaries and service providers and, where such party is Arm, to the Arm Group, and its Subsidiaries and service providers and Arm Group may use such information, in each case solely for the purposes of the Agreement.

• Each party will be liable for any breach of its obligations under Clause 13 that is caused by an act, error or omission of any such Subsidiary or service provider or the Arm Group.

• Customer shall defend and indemnify Arm and the Arm Group against any claims, actions, proceedings, losses, damages, expenses and costs (including without limitation court costs and reasonable legal fees) arising out of or in connection with Device Data, Device Specific Data or devices as used in connection with the Service and Customer’s use of third-party cloud Service in conjunction with the service.

• Each party will be liable for any breach of its obligations under Clause 14 that is caused by an act, error or omission of any such Subsidiary or service provider or the Arm Group.

• To the extent that Supplier, or any Personnel, own any rights in the Products, Supplier hereby assigns with full title guarantee (or will procure assignment of) all Intellectual Property Rights in the Products to Arm Group as they are created, on a worldwide perpetual basis, including any extensions or renewals of those Intellectual Property Rights (including the right to sue for damages and other remedies for infringement of those Intellectual Property Rights).

• Where the Products comprise any software (including any materials in any digital format), Supplier hereby assigns to Arm Group, with full title guarantee, all copyright and other interests in the underlying software code in both executable and source (human- readable) forms, except to any elements of code which are Third Party Materials.

More Definitions of Arm Group

Arm Group means any or all as the context allows of Arm Limited and any entity that Arm Limited owns, that owns Arm Limited, or that is under common ownership with Arm Limited. “Ownership” means (i) direct or indirect control of 50% or more of the allotted shares with the ability to vote for members of the board of directors or (ii) for an entity without shares, 50% or more of the ownership interest with the ability to make decisions for the entity.

Arm Group means Arm Limited whose registered office is situated at 000 Xxxxxxxx Xxxx, Xxxxxxxxx, XX0 0XX (“Arm Limited”), its Subsidiaries and holding companies from time to time, and the Subsidiaries of any holding company of Arm Limited from time to time. A reference to a holding company of Arm Limited means a company wherever incorporated (or persons acting on its behalf) that directly or indirectly holds or controls either: (a) a majority of the voting rights exercisable at shareholder meetings of Arm; or (b) the right to appoint or remove a majority of Arm Limited’s board of directors.

Arm Group means any or all as the context allows of the Company and any company the majority of whose voting shares is now or hereafter owned or controlled, directly or indirectly, by the Company, as applicable. A company shall be a subsidiary of the Company only for the period during which such control exists;

Arm Group. The pool of Mortgage Loans which have adjustable Mortgage Interest Rates and are identified in the Mortgage Loan Schedule as having been assigned to the ARM Group, including any Qualified Replacement Mortgages assigned to the ARM Group.

Arm Group means: (i) ARM; (ii) all Subsidiaries of ARM; (iii) ARM Holdings plc for so long as ARM Holdings plc owns more than 50% of the shares of ARM; and (iv) all Subsidiaries of ARM Holdings plc as at the date of the Investment Agreement;

Arm Group means the Group of adjustable rate Mortgage Loans, which are listed on Exhibit B hereto.
