Asset Schedule and Exception List definition

Asset Schedule and Exception List means a list of the Assets, identifying, with respect to each Asset, each Custodial Document delivered to the Custodian and each Exception (including identifying, with respect to any document or other item required to be provided by the Company to the Custodian pursuant to Sections 6.1(c)(ii), (iii), (vi) or (viii) of the Custodial and Paying Agency Agreement, which of the various alternatives with respect to originals or copies thereof specified in the relevant clause applies) and that details, with respect to any such Asset that has been released by the Custodian, the following: (a) the Borrower name and any identification number assigned to the Asset, (b) the location to which the Custodial Documents with respect to such Asset were delivered by the Custodian, (c) the date on which such Custodial Documents were released by the Custodian, and (d) the Person to which such Custodial Documents were released.
Asset Schedule and Exception List means a list of the Assets, identifying, with respect to each Asset, each Exception, and that details, with respect to any Asset that has been released by the Custodian, (i) the Borrower name and any identification number assigned to the Asset, (ii) the location to which the Custodial Documents with respect to such Asset were delivered by the Custodian, and (iii) the date on which such Custodial Documents were released by the Custodian.

Examples of Asset Schedule and Exception List in a sentence

  • Each Asset Schedule and Exception List delivered by the Custodian to the Company shall supersede and cancel the Asset Schedule and Exception List previously delivered by the Custodian to the Company hereunder, and shall replace the then existing Asset Schedule and Exception List to be attached to the Collateral Certificate.

  • Each Asset Schedule and Exception List shall list all Exceptions using such codes as shall be in form and substance agreed to by the Custodian and the Company.

  • Within seven Business Days after the receipt of the additional Custodial Documents by the Custodian, the Custodian shall provide the Company (with a copy to the Purchase Money Notes Guarantor, the NGPMN Agent and the Collateral Agent) and the Advance Lender with a Collateral Certificate, to the effect that the Custodian has received and reviewed the additional Collateral Documents, and include a revised Asset Schedule and Exception List.

  • Each Asset Schedule and Exception List is to list all Exceptions using such codes as are in form and substance agreed to by the Custodian and the Company.

  • Notwithstanding anything to the contrary in this Section 6.1, if the Asset Schedule and Exception List attached to the Collateral Certificate is different from the Asset Schedule and Exception List most recently delivered to the Company, then the most recently delivered Asset Schedule and Exception List will control and be binding upon the parties to this Agreement.

  • Asset Schedule means with respect to any Transaction as of any date, an asset schedule in the form of a computer tape or other electronic medium (including an Excel spreadsheet) generated by Seller and delivered to Buyer and the Custodian, which provides information (including, without limitation, the information set forth on Exhibit E attached hereto) relating to the Purchased Mortgage Loans in a format reasonably acceptable to Buyer.

  • DQ List has the meaning assigned to such term in Section 9.04(e)(iv).

  • Exception Report The report of the Trustee referred to in Section 2.02.

  • Sellers Disclosure Schedule means the disclosure schedule delivered by the Sellers to the Purchaser on the date hereof.

  • Schedule of Exceptions shall have the meaning set forth in Section 5, and is attached hereto as Exhibit C.

  • Specification Schedule means the Schedule containing details of the Specification.

  • Shift Schedule means a written statement setting forth the days and hours upon which the employees are required to work.

  • Monitoring Requirements Schedule means the Schedule containing details of the monitoring arrangements.

  • Delegation Schedule means any separate schedule entered into between the Custodian and the Fund or its authorized representative with respect to certain matters concerning the appointment and administration of Subcustodians delegated to the Custodian pursuant to Rule 17f-5 under the 1940 Act.

  • Permitted Exception means (a) liens for Taxes and other governmental charges and assessments which are not yet due and payable, (b) liens of landlords and liens of carriers, warehousemen, mechanics and materialmen and other like liens arising in the ordinary course of business for sums not yet due and payable, (c) other liens or imperfections on property which are not material in amount or do not materially detract from the value or the existing use of the property affected by such lien or imperfection, (d) such statements of fact and exceptions shown on any title insurance policies delivered to Global.

  • PRICED SCHEDULE OR QUANTITIES means the schedule duly priced.

  • Disclosure Schedules means the Disclosure Schedules of the Company delivered concurrently herewith.

  • Country Limitation Schedule means the schedule published from time to time by Ex-Im Bank setting forth on a country by country basis whether and under what conditions Ex-Im Bank will provide coverage for the financing of export transactions to countries listed therein.

  • Schedule of Representations means the Schedule of Representations and Warranties attached hereto as Schedule B.

  • Preliminary Mortgage Schedule As defined in Section 3.

  • Rent Roll shall have the meaning set forth in Section 3.18 hereof.

  • Permitted Exceptions shall have the meaning set forth in Section 4.3.

  • Schedule of Assumed Executory Contracts and Unexpired Leases means the schedule of certain Executory Contracts and Unexpired Leases to be assumed (or assumed and assigned) by the Debtors pursuant to the Plan, as the same may be amended, modified, or supplemented from time to time by the Debtors.

  • Schedule of Rejected Executory Contracts and Unexpired Leases means the schedule (including any amendments or modifications thereto), if any, of the Executory Contracts and Unexpired Leases to be rejected by the Debtors pursuant to the Plan, as set forth in the Plan Supplement, as amended by the Debtors from time to time in accordance with the Plan, which shall be in form and substance acceptable to the Debtors.

  • Title Objections has the meaning ascribed to such term in Section 6.2(a).

  • Existing Survey means the existing ALTA survey of the Property.

  • Priced Schedule of Quantities means the schedule of quantities duly priced with the accepted quoted rates of the contractor.

  • Form 8-K Disclosure Information As defined in Section 11.07.

  • Title Report has the meaning set forth in Section 5.4(b).

  • Closing Checklist means the schedule, including all appendices, exhibits or schedules thereto, listing certain documents and information to be delivered in connection with the Agreement, the other Loan Documents and the transactions contemplated thereunder, substantially in the form attached hereto as Annex D.

  • Property Notice means any order, notice, proposal, demand or other requirement issued by any competent authority (including the Landlord) which materially affects the Academy Trust’s ability to use the Land for the purposes of the Academy.
