As of January 1, 2024, Section 6.1 of the Brand Framework Agreement between the Parties shall be null and void and of no further force and effect with respect to the use of the SunPower Marks or Assigned Trademarks in the Territory (as “Territory is defined in the 2022 MSA”).
Assigned Trademarks" means the United States trademarks and the registrations thereof listed on Schedule A.
Notwithstanding anything to the contrary in this Agreement, recordation or registration of any document evidencing the assignment of the Assigned Trademarks from RRD to LSC shall be LSC’s sole responsibility and at its sole cost and expense, provided that RRD agrees to reasonably cooperate with LSC in connection with such recordations or registrations, at LSC’s sole cost and expense.
For clarity, the foregoing does not constitute an assignment or transfer of (or an agreement to assign or transfer) any elements of any of the Designated Composite Marks (which shall be assigned solely to the extent such elements constitute Assigned Trademarks).
Lilly represents and warrants that, as of the Closing Date, all necessary papers and fees concerning the Assigned Trademarks (which are registered as of the Closing Date and are unexpired), and the Licensed Trademark and Trade Dress (other than the Common Law Licensed Trade Dress) have been timely paid and filed with the appropriate governmental agencies or authority.
