Attribution Party definition

Attribution Party means a Purchaser’s Affiliates, and any other Persons acting as a group together with the Purchaser or any of the Purchaser’s Affiliates.
Attribution Party as defined in Section 2.15.
Attribution Party means, with respect to any Person, any other Person whose beneficial ownership of a security would or could be aggregated with any Person and such Person’s Affiliates.

  • Neither the Trustee nor the Conversion Agent shall have any responsibility to determine the Maximum Percentage or whether the issuance of any shares results in a Holder or Attribution Party having Excess Shares or otherwise determine or monitor compliance with the terms of this Section 14.13.

Attribution Party means the following Persons: (i) any direct or indirect Affiliate of the Holder, (ii) any investment vehicle, including any funds, feeder funds or managed accounts, currently or from time to time after the Original Issue Date, managed by the investment manager and any its Affiliates or principals, (iii) any Person acting or who could be deemed to be acting as a group (as such term is defined in Section 13(d) of the Exchange Act and Rule 13d-5 thereunder) with the Holder or any Attribution Parties and (iv) any Person whose beneficial ownership of the company’s Common Shares would or could be aggregated with the Holder’s
Attribution Party has the meaning specified in Section 7.6(2).

Related to Attribution Party

  • Attribution Parties means, collectively, the following Persons and entities: (i) any investment vehicle, including, any funds, feeder funds or managed accounts, currently, or from time to time after the Issuance Date, directly or indirectly managed or advised by the Holder’s investment manager or any of its Affiliates or principals, (ii) any direct or indirect Affiliates of the Holder or any of the foregoing, (iii) any Person acting or who could be deemed to be acting as a Group together with the Holder or any of the foregoing and (iv) any other Persons whose beneficial ownership of the Company’s Common Stock would or could be aggregated with the Holder’s and the other Attribution Parties for purposes of Section 13(d) of the 1934 Act. For clarity, the purpose of the foregoing is to subject collectively the Holder and all other Attribution Parties to the Maximum Percentage.

  • Attribute means an actual or perceived personal characteristic including without limitation race, color, religion, ancestry, national origin, socioeconomic status, academic status, disability, gender, gender identity, physical appearance, health condition, or sexual orientation;

  • Certification Party As defined in Section 11.05.

  • Basket Componenti means the respective share as specified in § 1 of the Product and Underlying Data. "Calculation Agent" means the Calculation Agent as specified in § 2 (2) of the General Conditions.

  • Basket Component means each of the SPDR S&P 500 ETF Trust, iShares Russell 2000 Index Fund, iShares MSCI EAFE Index Fund, and iShares MSCI Emerging Markets Index Fund.
