Audit Representative definition

Audit Representative means, with respect to each Party, the Chief Tax Officer or such other officer that may be designated by that Party’s Chief Financial Officer from time to time.
Audit Representative means either (x) a firm of Certified Public Accountants licensed to do business in the State of New York and having not less than ten (10) partners, principals or members, (y) an employee of Landlord or (z) a locally-recognized professional having not less than ten (10) years of expertise in reviewing and/or auditing operating expense statements of first-class office buildings in midtown Manhattan.
Audit Representative means HWAY and its appointed contractors (including internal audit staff), HWAY’s external auditors and their appointed contractors and regulator(s) and/or any other auditors, regulators, inspectors or contractors whom HWAY designates in writing from time to time; provided that none of the above shall be a competitor of Supplier;

Audit Representative. Audit Representative means your DTG audit representative who will be assigned to your audit case. This individual will generally be assigned to you according to their area of expertise, subject only to DTG’s experience with each representative in actual past audits.

Audit Representative means any internal or external Person designated by the Province from time to time, in its discretion, to conduct audits on its behalf.

Audit Representative means either (x) any third party designated by Tenant, or (y) an employee of Tenant. Notwithstanding anything to the contrary contained herein, if and only if any examination pursuant to this Section 3.03(e) results in a finding of a Significant Discrepancy with respect to any Particular Item of Operating Expenses, Tenant, upon reasonable prior notice given within thirty (30) days after such finding, may elect (or cause its Audit Representative) to examine or re-examine such Records as are directly relevant to such Particular Item as included in the Operating Statements for the prior three (3) years during the Term, as required pursuant to this Section 3.03(e). If Tenant shall not give timely notice under this Section 3.03(e) with respect to any finding of a Significant Discrepancy it shall be deemed to have waived its right of examination under this Section 3.03(e) with respect thereto. For purposes hereof:
Audit Representative means an independent and reputable, certified public accounting firm, which firm is not being compensated by the Tenant for its services on a contingency or success fee basis, and which shall employ only certified public accountants who are full-time, regular employees of such firm in connection with such verification.
