Audit Representative means either (x) a firm of Certified Public Accountants licensed to do business in the State of New York and having not less than ten (10) partners, principals or members, (y) an employee of Landlord or (z) a locally-recognized professional having not less than ten (10) years of expertise in reviewing and/or auditing operating expense statements of first-class office buildings in midtown Manhattan. The Audit Representative shall not be retained by Landlord on a contingency fee basis.

If Tenant shall not give timely notice under this Section 3.03(e) with respect to any finding of a Significant Discrepancy it shall be deemed to have waived its right of examination under this Section 3.03(e) with respect thereto.
