Authorised Transferee means, subject to clause 2.4, any Authorised Account Holder and any other person who FCC has authorised any Recipient to Transfer Equipment to and who has been allocated an account number or code by FCC;

Authorised Transferee. Means a company under the (common) Control of an Investor, a company directly or indirectly Controlling such Investor or the management company of such Investor (the “Parent”) a company under the Control of the Parent or sister or affiliated entity within the same group of the Investor or, any investment fund or similar entity managed by the same general partner or manager as such Investor or by another general partner or manager within the same group as such an Investor or its general partner;

Authorised Transferee means a corporation which is a member of the Koor Group or a corporation which is a member of the Clal Group, as the case may be; “the shares being sold” means 3,830,000 ordinary shares of NIS 0.12 n.v. each in ECI’s issued and paid-up share capital, which are held by Clal;

Examples of Authorised Transferee in a sentence

The Investors and SFN are permitted to transfer, or to agree to transfer, their Shares only to an Authorised Transferee or if expressly permitted pursuant to this Shareholders’ Agreement and/or the Articles of Association and subject to the condition that such transferee executes a Deed of Adherence.
This does not apply to a transfer or assignment by an Original Participant to its Authorised Transferee, but the Authorised Transferee will be treated as an Original Participant for the purposes of this provision.
