Security Parties means each Borrower, each Guarantor, each Chargor, and any other person (other than a Manager or Charterer) who may at any time during the Facility Period be liable for, or provide security for, all or any part of the Indebtedness, and "Security Party" means any one of them.
Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;
Relevant Party means each Loan Party and Sponsor (and, collectively “Relevant Parties”).
Authority’s Representative means the individual authorised to act on behalf of the Authority for the purposes of the Contract.
Security Party means each Owner, the Approved Manager and any other person (except a Creditor Party) who, as a surety or mortgagor, as a party to any subordination or priorities arrangement, or in any similar capacity, executes a document falling within the final paragraph of the definition of “Finance Documents”;
Authorised Authority Representative means the Authority representative named in CCN as authorised to approve agreed Variations to the Contract.
Authority Document(s) means document(s) duly adopted by the Board by resolution or motion implementing the powers, functions and activities of the Authority, including but not limited to the Operating Rules and Regulations, the annual budget, and plans and policies.
Local Authority Associated Persons means any person associated with any local authority within the meaning given in section 69 of the Local Government and Housing Act 1989;
Public Procurement Regulatory Authority (PPRA) means the Government Agency responsible for oversight of public procurement.
Authority Board means the Board of Directors of the Authority.
Authority Representative means the representative appointed by the Authority from time to time in relation to this Framework Agreement;
Party/Parties means Buyer and Seller individually/collectively.
Authority Data means a) the data, text, drawings, diagrams, images or sounds (together with any database made up of any of these) which are embodied in any electronic, magnetic, optical or tangible media, and which are:
Local Authority Associated Person means any person associated (within the meaning given in section 69(5) of the Local Government and Housing Act 1989) with any local authority by which the Academy Trust is influenced;
Ultimate Parent means a Company, which owns not less than fifty-one percent (51%) equity either directly or indirectly in the Parent and Affiliates.
Transaction Parties As defined in Section 5.3(o).
authorised party means the party referred to in Article XIII(3);
Parent Parties has the meaning set forth in ARTICLE V.
Authorised Persons means collectively all Event management, Venue management, Police, public bodies and agencies responsible for safety and security in connection with the Event or the Venue, and their respective staff, officials, representatives, officers and volunteers;
authorised entity means an entity that is authorised or recognised by a Member State to provide education, instructional training, adaptive reading or information access to beneficiary persons on a non-profit basis. It also includes a public institution or non-profit organisation that provides the same services to beneficiary persons as one of its primary activities, institutional obligations or as part of its public-interest missions.
Borrower Parties means the collective reference to the Borrower and the Restricted Subsidiaries, and “Borrower Party” means any one of them.
Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.
Authority System means the Authority’s computing environment (consisting of hardware, software and/or telecommunications networks or equipment) used by the Authority or the Contractor in connection with this Contract which is owned by or licensed to the Authority by a third party and which interfaces with the Contractor System or which is necessary for the Authority to receive the Services.
local authority area means a local authority area as defined in section 1 of the Local Authorities Act, 1992 (Act No. 23 of 1992);
Authority ICT System means the Authority’s computing environment (consisting of hardware, software and/or telecommunications networks or equipment) used by the Authority or the Contractor in connection with the Contract which is owned by or licensed to the Authority by a third party and which interfaces with the Contractor ICT System or which is necessary for the Authority to receive the Services.
Governmental Authority(ies) means any Federal, state, local, quasi-governmental instrumentality or foreign court, or governmental agency, authority, instrumentality, agency, bureau, commission, department or regulatory body.
