Backstop Units definition

Backstop Units means that number of Units purchased pursuant to the Backstop Commitment or such additional Units as may be purchased by the Backstop Investor pursuant to Section 2.2(e) of this Agreement.
Backstop Units means, collectively, the Common Units issued by the Company upon the exchange of warrants issued to the Backstop Unitholders in connection with the obligation of MidOcean Capital, Behrman and their respective Affiliates to purchase the 15% Convertibxx Xxxxrdinated Notes of KHC in December 2002.
Backstop Units has the meaning given to such term in Section 1.2(f).

Examples of Backstop Units in a sentence

  • The Company shall take such action as the Company shall reasonably determine is necessary in order to obtain an exemption for, or to qualify the Backstop Units and Commitment Warrants for, sale to the Backstop Investor at the Expiration Date under applicable securities or “Blue Sky” laws of the states of the United States, and shall provide evidence of such actions promptly upon request of the Backstop Investor.

  • All warranties and representations (as of the date such warranties and representations were made) made herein or in any certificate or other instrument delivered by it or on its behalf under this Agreement shall be considered to have been relied upon by the parties hereto and shall survive the issuance of the Backstop Units and Commitment Warrant.

Related to Backstop Units

  • OP Units means units of limited partnership interest in the Operating Partnership.

  • Backstop Agreement means that certain backstop commitment agreement by and among the Backstop Parties, Valaris, and the other Debtor parties thereto, as amended by that certain amended backstop commitment agreement, dated February 5, 2021, by and among the Backstop Parties, Valaris, and the other Debtor parties thereto, as may be further amended, supplemented, or modified from time to time, setting forth, among other things, the terms and conditions of the Rights Offering and the Backstop Commitments, attached as Exhibit 2 to the Restructuring Term Sheet.

  • Backstop Commitment has the meaning set forth in Section 2.2(b).

  • Class B Warrants means, collectively, the Common Stock purchase warrants in the form of Exhibit C attached hereto delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which warrants shall be exercisable immediately and have a term of exercise equal to one year.

  • Backstop Commitment Agreement means that certain Backstop Commitment Agreement, by and between CEOC and the PropCo Preferred Backstop Investors party thereto from time to time, as the same may be amended, amended and restated, supplemented, or otherwise modified from time to time in accordance with its terms, the form of which shall be included in the Plan Supplement.

  • A Shares means a participating share of no par value in the capital of the Fund, denominated in US Dollars;

  • Unsubscribed Shares means the Rights Offering Shares that have not been duly purchased by the Rights Offering Participants in accordance with the Rights Offering Procedures and the Plan.

  • Common Units means common units representing limited partner interests in the Partnership.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Backstop Parties means, collectively, the Initial Backstop Parties and the Additional Backstop Parties.

  • Class B Units means the Class B Units of the Company.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Series B Preferred Units means the Partnership's 8 5/8% Series B Cumulative Redeemable Partnership Units.

  • Series B Warrants means, collectively, the Series B Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof and the other Series B Warrants contemplated under Section 2.1 to be issued concurrently at the Closing, which Series B Warrants shall be exercisable beginning immediately and have a term of exercise equal to five (5) years, in the form of Exhibit B-2 attached hereto.

  • Series A Units means Series A currency hedged mutual fund units or Series A non-currency hedged mutual fund units of a fund, as applicable.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.

  • Common Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Common Warrants shall be exercisable immediately and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.

  • Class A Common Units means the Company's Class A Common Units.

  • Closing Warrants shall have the meaning ascribed to such term in Section 2.1(a)(ii).

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Series A Shares means the Company’s Series A Preferred Stock, par value $0.01 per share.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Series C Preferred Units shall have the meaning provided in Section 1.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • REIT Shares means shares of common stock, $0.01 par value per share, of the Company.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.
