Banking Case definition

Banking Case means, with respect to a Banking Case Date, a financial asset model in respect of the Borrowing Base Assets in Microsoft Excel format prepared by the Technical Agent in consultation with the Borrowers, and approved (or deemed approved) by the Supermajority Lenders, but containing at a minimum:

Examples of Banking Case in a sentence

  • The Supermajority Lenders shall have received and approved a Banking Case with respect to the Closing Date.

  • Such initial Borrowing Base Amount and Banking Case shall be subject to re-determination from time to time in accordance with this ARTICLE 3.

  • The Borrowers and the Technical Agent shall agree on a proposed Banking Case to be delivered to the Lenders as soon as reasonably practicable, and in any event, no later than twenty (20) days prior to such Banking Case Date; provided always that if a proposed Banking Case is not agreed upon by such time, the Banking Case in effect on the most recent Banking Case Date shall be deemed to be the proposed Banking Case.

  • Concurrently with the delivery of each Independent Reserves Report and Internal Reserves Report, the Borrowers shall also deliver to the Administrative Agent (with sufficient copies for each Lender) a Corporate Cashflow Projection effective as of the immediately upcoming Banking Case Date.

  • At least twenty five (25) days prior to each Banking Case Date, the Technical Agent shall prepare and deliver to the Borrowers a draft Banking Case.

Banking Case means, with respect to a Banking Case Date, a financial asset model in respect of the Borrowing Base Assets in Microsoft Excel format prepared by the Technical Agent in consultation with the Borrowers, and approved (or deemed approved) by the Supermajority Lenders, but containing at a minimum the Borrowing Base Amount, CFADS, Current Ratio, Debt Service Coverage Ratio, Field Life Coverage Ratio, Loan Life Coverage Ratio, Maximum Available Amount, Projected Operating Revenues, Projected Operating Costs and working capital availability for each Calculation Period and each Calculation Date from that Banking Case Date to the last Abandonment Date. The Banking Case shall be prepared by the Technical Agent using pricing and technical assumptions approved by the Supermajority Lenders.

Related to Banking Case

  • Working Capital Reserve means a cash reserve held in the Operating Account that is readily available to Manager during the Term to finance the services, repairs and maintenance described in Section 5.2 including Minor Capital Expenditures and Major Capital Expenditures, insurance premiums for the Property described in Section 9.1, and utilities for the Property, in such amounts as determined by the Owner in its sole discretion.

  • Working Capital Loans means any loan made to Acquiror by any of the Sponsor, an Affiliate of the Sponsor, or any of Acquiror’s officers or directors, and evidenced by a promissory note, for the purpose of financing costs incurred in connection with a Business Combination.

  • Working Capital Borrowings means borrowings incurred pursuant to a credit facility, commercial paper facility or similar financing arrangement that are used solely for working capital purposes or to pay distributions to the Partners; provided that when such borrowings are incurred it is the intent of the borrower to repay such borrowings within 12 months from the date of such borrowings other than from additional Working Capital Borrowings.

  • Consolidated Net Working Capital means (a) all current assets of the Company and its Restricted Subsidiaries except current assets from Oil and Gas Hedging Contracts, less (b) all current liabilities of the Company and its Restricted Subsidiaries, except (i) current liabilities included in Indebtedness, (ii) current liabilities associated with asset retirement obligations relating to oil and gas properties and (iii) any current liabilities from Oil and Gas Hedging Contracts, in each case as set forth in the consolidated financial statements of the Company prepared in accordance with GAAP (excluding any adjustments made pursuant to FASB ASC 815).

  • Financial Commitment means the legally binding undertaking of the Operator to mobilize the financial requirements of the project, for ensuring the completion of the project;
