  • To the greatest extent permitted by Law, all liabilities associated with any Non-Assignable Assets shall be, and shall for all purposes be deemed to be, transferred to the JV Company as of the Closing Date and the JV Company shall thereafter be fully responsible and liable therefor, and the Parties shall cause the JV Company to indemnify and save harmless the Barrick Party or the Newmont Party that is party to or otherwise holds such Non-Assignable Asset.
