Base Agreements definition

Base Agreements means the Trust Agreement, dated as of [Month Day], 20XX, between CNH Capital Receivables LLC and the Trustee, the Sale and Servicing Agreement, dated as of [Month Day], 20XX, among Party B, CNH Capital Receivables LLC, as Seller, and New Holland Credit Company, LLC, as Servicer, and the Indenture.
Base Agreements means any agreements from time to time entered into between the Company and a third party pursuant to which the Company acquires any rights to use Included Pipelines or the Included Tanks, including, without limitation, the Transition Terminalling Agreement, Long-Term Terminalling Agreement, the Refinery Access Agreement, the Services Agreement and the Refinery Property Lease; provided that the Refinery Property Lease shall cease to be a Base Agreement upon fee transfer to the Company of the Main Premises (as defined in the Topping Unit Purchase Agreement).
Base Agreements means any agreements hereafter entered into between the Company and a third party pursuant to which the Company acquires any rights to use Included Product Pipelines or the Included Product Tanks.

  • Each term capitalized but not defined in this Agreement shall have the meaning assigned thereto in the Base Agreements.

More Definitions of Base Agreements

Base Agreements means the Tolling Agreement and any of the Master Lease or any other agreement between PPC and a third party pursuant to which PPC acquired or acquires any rights to use the third party Included Crude Pipelines or Included Product Pipelines or the Included Third Party Storage Tanks.
Base Agreements means (a) the BWC Agreements (but only from (and including) the BWC Inclusion Date); (b) the Center Point Agreements (but only from (and including) the Center Point Inclusion Date); (c) the Plains Agreements; (d) any agreements hereafter entered into between the Company and any third party pursuant to which the Company acquires any rights to use storage tanks or pipelines that the Company elects to be treated as, or that are, Crude Storage Tanks, Included Crude Pipelines, Included Product Pipelines, the Included Product Tanks or Company Storage Locations, and (e) any agreement entered into by Company with Parent or any of Parent’s Subsidiaries, relating to the Refinery and/or the operation or maintenance of the Refinery, including any related agreements related to Crude Oil and Products in connection with the Refinery, provided, however, that the Vertex Renewables SOA and the Vertex Renewables Transaction Documents entered into in connection therewith shall not constitute “Base Agreements” for the purposes of this Agreement.”.
Base Agreements means the Transferred Participating Member Agreements that provide for a contractual term ending on December 31, 2024 set forth on Schedule 2.2.

Base Agreements means (a) the Vertex Refining Services Agreements, (b) the Center Point Agreements, (c) the BWC Agreements, (d) any agreements hereafter entered into between the Company or, to the extent such storage tanks or pipelines are leased to the Company by Vertex Refining, Vertex Refining and any third party pursuant to which the Company or Vertex Refining acquires any rights to use storage tanks or pipelines that the Company elects to be treated as, or that are, Included Permitted Feedstock Locations, Included Permitted Feedstock Pipelines, Included Renewable Product Pipelines, the Included Renewable Product Tanks or Company Storage Locations, and (e) any agreement entered into by Company with the Parent, Vertex Refining or any of the Parent’s other Subsidiaries, relating to the Refinery and/or the operation or maintenance of the Refinery as it relates to the processing of Permitted Feedstock or production of Renewable Product, including any related agreements related to Permitted Feedstock or Renewable Products in connection with the Refinery; provided however, that the Vertex Refining SOA and any other “Transaction Document” (as defined in the Vertex Refining SOA) entered into in connection therewith shall not constitute “Base Agreements” for the purpose of this Agreement.
Base Agreements means (a) any agreements hereafter entered into between the Company and a third party pursuant to which the Company acquires any rights to use Included Permitted Feedstock Storage Tanks, Included Permitted Feedstock Pipelines, Included Renewable Product Tanks, Included Renewable Product Pipelines or Specified Company Locations, (b) the Montana Renewables Services Agreement, (c) the Montana Renewables Lease, and (d) any other agreement entered into by the Company or any of its Affiliates relating to the Refinery, including any related agreements related to Permitted Feedstock and Renewable Products in connection with the Refinery.
Base Agreements has the meaning given to it in the Supply and Offtake Agreement.
