Base Capital Expenditures definition

Base Capital Expenditures means Capital Expenditures that are (i) required to be made by applicable Law, (ii) undertaken for health and safety reasons, (iii) undertaken to maintain and operate assets in accordance with Good Utility Practice, or (iv) required under any Contractual Obligations not entered into with the intention of circumventing the restrictions contained in this definition.
Base Capital Expenditures means, for any fiscal quarter, the quarterly average of the Issuer’s capital expenditures (as determined in accordance with GAAP) for the twelve fiscal quarters comprising the three full fiscal years immediately preceding such fiscal quarter, increased by the Capital Expenditures Grower Rate.
Base Capital Expenditures means (a) $6,400,000 if the Measurement Date is December 31, 2004 and (b) $5,400,000 if the Measurement Date is November 30, 2004.

Base Capital Expenditures means Capital Expenditures for maintenance purposes in an amount not to exceed $8,000,000 during any twelve-month period.

  • Maintenance Capital Expenditures means cash expenditures (including expenditures for the addition or improvement to the capital assets owned by any Group Member or for the acquisition of existing, or the construction of new, capital assets) if such expenditures are made to maintain, including over the long term, the operating capacity or revenues of the Partnership Group.
