Base Rate Notes definition

Base Rate Notes means a Note bearing interest at a rate determined by reference to the Base Rate.

  • For the avoidance of doubt, the interest rate on which Base Rate Notes shall, if necessary to avoid such illegality, be determined by Collateral Agent without reference to clause (iii) of the definition of “Base Rate”, in each case, until such Affected Purchaser notifies Collateral Agent and Company that the circumstances giving rise to such determination no longer exist.

  • Each such Notice of Conversion/Continuation shall be irrevocable and shall specify (i) the effective date of the election made pursuant to such Notice of Conversion/Continuation, which shall be a Business Day and (ii) whether the Notes are to be Base Rate Notes or Eurodollar Notes.

  • Upon such date as shall be specified in such notice (which shall not be earlier than the date such notice is given) the affected Notes shall be converted to Base Rate Notes on the last day of the then-current Payment Period applicable thereto until such time that the Agent or Lender, as the case may be, notifies the Lessor that the circumstances giving rise to such conversion no longer exist.

  • Interest hereunder on Base Rate Notes shall be computed on the basis of a year of 365 days (or 366 days in a leap year) and paid for the actual number of days elapsed (including the first day but excluding the last day).

  • The Notes may be, from time to time, Base Rate Notes or Eurodollar Notes or a combination thereof.

  • Until such Purchaser shall notify the Issuer and each other Purchaser that the circumstances giving rise to such notice no longer exist, (i) the obligations of such Purchaser to continue or convert outstanding Notes as or into Eurodollar Notes shall be suspended and (ii) all such affected Note shall be converted into Base Rate Notes on the last day of the then current Interest Period applicable thereto unless the Issuer prepays such Notes in accordance with this Agreement.

  • Subject to clause (b), if Collateral Agent determines (which determination shall be conclusive and binding absent manifest error) that “Adjusted Term SOFR” cannot be determined pursuant to the definition thereof on any ​ ​ given day, the interest rate on Base Rate Notes shall be determined by Collateral Agent without reference to clause (iii) of the definition of “Base Rate” until Collateral Agent revokes such determination.

  • Company desires to issue and sell to Purchasers Notes having an aggregate principal amount of $[__] in accordance with the applicable terms and conditions of the Note Purchase Agreement on [__], 20[__] (the “Credit Date”), which Notes shall be [SOFR Rate Notes] [Base Rate Notes] with an Interest Period of [__].

  • Upon notice thereof by Collateral Agent to Company, any obligation of the Purchasers to make SOFR Rate Notes, and any right of Company to continue SOFR Rate Notes or to convert Base Rate Notes to SOFR Rate Notes, shall be suspended (to the extent of the affected SOFR Rate Notes or affected Interest Periods) until Collateral Agent (with respect to clause (ii), at the instruction of the Requisite Purchasers) revokes such notice.

  • The Delayed Draw Notes may be, from time to time, Base Rate Notes or Eurodollar Notes.

  • Floating Rate Notes means the Class A-2b Notes.

  • Fixed Rate Notes Together, the Class A-2 Notes, the Class A-3 Notes, the Class A-4 Notes, the Class B Notes, the Class C Notes, the Class D Notes and the Class E Notes.

  • Fixed Rate Note means a Note on which interest is calculated at a fixed rate payable in arrear on a fixed date or fixed dates in each year and on redemption or on such other dates as may be agreed between the Issuer and the relevant Dealer(s) (as indicated in the applicable Final Terms);

  • Floating Rate Note means a Note on which interest is calculated at a floating rate, payable in arrear on one or more Interest Payment Dates in each year as may be agreed between the Issuer and the relevant Dealer, as indicated in the applicable Final Terms;

  • Bid Rate Note means a promissory note of the Borrower substantially in the form of Exhibit B, payable to a Lender.

  • Federal Funds Open Rate Note Unless otherwise specified on the face hereof, “Federal Funds Open Rate” means the rate set forth on Moneyline Telerate (or any successor service) on page 5 (or any other page as may replace the specified page on that service) for an Interest Determination Date underneath the caption “FEDERAL FUNDS” in the row titled “OPEN”. If the rate is not available for an Interest Determination Date, the rate for that Interest Determination Date shall be the Federal Funds Rate as determined below.

  • 2024 Notes means the 7.000% Senior Notes due 2024, issued pursuant to the 2024 Indenture.

  • Base Rate Revolving Loan means a Revolving Loan that is a Base Rate Loan.

  • 2019 Notes has the meaning set forth in the definition of “2018 Exchange Offers”.

  • Interest Rate Option means any LIBOR Rate Option or Base Rate Option.

  • 2022 Notes means the 6.25% Senior Notes due 2022 issued by the MLP and Finance.

  • Note Rate means, in the case of the Class A-1 Notes, the Class A-1 Rate; in the case of the Class A-2a Notes, the Class A-2a Rate; in the case of the Class A-2b Notes, the Class A-2b Rate; in the case of the Class A-3 Notes, the Class A-3 Rate; in the case of the Class A-4 Notes, the Class A-4 Rate; in the case of the Class B Notes, the Class B Rate; in the case of the Class C Notes, the Class C Rate; and in the case of the Class D Notes, the Class D Rate.

  • Alternate Base Rate Advance means an Advance which bears interest at the Alternate Base Rate.

  • Interest Rate Period means any Daily Interest Rate Period, Weekly Interest Rate Period, Short-Term Interest Rate Period, Long- Term Interest Rate Period or ARS Interest Rate Period.

  • Revolving Credit Base Rate Option A fluctuating rate per annum (computed on the basis of a year of 365 or 366 days, as the case may be, and actual days elapsed) equal to the Base Rate plus the Applicable Margin, such interest rate to change automatically from time to time effective as of the effective date of each change in the Base Rate; or

  • Net Note Rate means, with respect to each Note, the applicable Note Rate minus the Servicing Fee Rate.

  • Alternate Base Rate Loans means Loans that bear interest at an interest rate based on the Alternate Base Rate.

  • PIK Interest Rate means (a) in respect of any Interest Period, the Additional Tax Payer Protection Rate plus (b) in respect of any Interest Period ending on or prior to the first anniversary of the date hereof, the Adjusted LIBO Rate plus the Applicable Rate.

  • 2023 Notes means the 6 7/8% Notes due 2023 issued by NTL pursuant to the 1988 Indenture.

  • 2021 Notes means the 4.700% Senior Notes due 2021, originally issued by Ensco plc (now Valaris), a public limited company organized under the laws of England and Wales.

  • Class A Note Rate means, with respect to each Interest Period, a fixed rate equal to 4.10% per annum with respect to the Class A Notes.

  • 2015 Notes means the 8.375% senior notes due 2015 in the principal amounts of $615 million and €500 million issued pursuant to the 2015 Notes Indenture.

  • Revolving Notes means the promissory notes of the Borrower in favor of each of the Lenders evidencing the Revolving Loans provided pursuant to Section 2.1(e), individually or collectively, as appropriate, as such promissory notes may be amended, modified, supplemented, extended, renewed or replaced from time to time.

  • Floating Rate Option has the meaning given to it in the ISDA Definitions;

  • Class B Note Rate means % per annum, computed on the basis of a 360-day year consisting of twelve 30-day months.

  • Floating Rate Period shall have the meaning set forth in Section 2.05(b) hereof.
