  • No Party may amend, agree to amend or waive any of its rights under this Addendum without the prior written consent of the Biogen Parties.

  • Under no circumstances shall Forward be required to pay to Aditech an amount pursuant to this Clause 5.2(b) in excess of the royalty payment it receives from the Biogen Parties.

  • The royalty payments referred to Clause 2.3 may be suspended or terminated in the event of the entry into the market of a generic product that is therapeutically equivalent to and substitutable for certain products sold by or on behalf of either of the Biogen Parties.

  • By way of example, if the Biogen Parties pay Forward a royalty of 10% of the Biogen Parties' Net Sales, then Forward shall pay to Aditech 20% of the amount received by Forward.

  • The Parties agree that the initial press release to be issued with respect to this Agreement and the Aditech Addendum shall be in the form heretofore agreed to by the Parties and the Biogen Parties in writing.

  • Licensee Parties has the meaning ascribed to such term in Section 5.1.

  • Contractor Parties means a Contractor’s members, directors, officers, shareholders, partners, managers, principal officers, representatives, agents, servants, consultants, employees or any one of them or any other person or entity with whom the Contractor is in privity of oral or written contract (e.g. subcontractor) and the Contractor intends for such other person or entity to perform under the Contract in any capacity. For the purpose of this Contract, vendors of support services, not otherwise known as human service providers or educators, shall not be considered subcontractors, e.g. lawn care, unless such activity is considered part of a training, vocational or educational program.

  • Licensee Indemnitees has the meaning set forth in Section 11.2.

  • Covered Parties has the meaning set forth in Section 6.7(a).

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Novartis shall have the meaning set forth in the Preamble.

  • BSC means the Balancing and Settlement Code designated by the Secretary of State with the approval of the Authority;

  • Licensors means PRS and MCPS.

  • BMS means the Company, all related companies, affiliates, subsidiaries, parents, successors, assigns and all organizations acquired by the foregoing.
