BISx System definition

BISx System means the integrated solution of Seller’s BIS Engine processing technology and the DSC-XP. The BISx System includes a patient interface cable and a host monitor cable. Buyer BIS/EEG Module means all components involved in integrating the BISx and/or BIS/EEG with Buyer Patient Monitoring Systems.
BISx System means the system comprised of a BISx device with a Monitor Cable and a Patient Interface Cable (“PIC”) designed for use with the Philips Patient Monitor and is also known, including in Exhibit A, as a “BISx Kit”.
BISx System is the BISx and a patient interface cable.

  • For example, if midway through year two, [**] Draeger BISx Systems are purchased, the price on the [**] Draeger BISx System will reflect the next volume break.

  • NK shall assume the regulatory responsibility for the BISx System.

  • The Agreement may be terminated by Aspect giving thirty (30) days prior written notice to Draeger in the event Draeger has not filed a 510(k) submission with the FDA for the Draeger BISx System by [**], but only if Aspect has provided an Aspect BISx Kit consistent with the specifications outlined in Exhibit B to Draeger by [**].

  • Aspect shall: (i) fully comply with any applicable law, regulation and rule of government of the United States and agencies or instrumentalities thereof; and (ii) maintain all U.S. governmental approvals and licenses necessary to produce and export the BISx System.

  • Aspect shall provide the appropriate verification and validation information for evaluating the effect of the change on the BISx System.

  • Aspect warrants solely to Draeger that Aspect Products (including Software) delivered hereunder shall perform substantially in accordance with the specifications in Exhibit B (Aspect's BISx Kit) and shall be free from defects in materials and workmanship, when given normal, proper and intended usage, for [**] months from the date of shipment of the Draeger BISx System to the Draeger end customer site or [**] months from the date of shipment by Aspect to Draeger, whichever is less.

  • Aspect agrees to provide NK with all information in its possession that is necessary for the interfacing of the BISx System with NK patient monitoring systems.

Related to BISx System

  • XXXXX System means the XXXXX filing system of the Commission and the rules and regulations pertaining thereto promulgated by the Commission in Regulation S-T under the Securities Act and the Exchange Act, in each case as the same may be amended or succeeded from time to time (and without regard to format).

  • TARGET2 System means the Trans-European Automated Real-Time Gross Settlement Express Transfer (TARGET2) system or any successor thereto.

  • Fuel system means the components which store or transport fuel on board the vehicle and comprise the fuel tank system, all fuel and vapour lines, any non-tank mounted fuel pumps and the activated carbon canister.

  • PV System means a residentially hosted roof-top solar electric generating system, including photovoltaic panels, racks, wiring and other electrical devices, conduits, weatherproof housings, hardware, one or more inverters, remote monitoring systems, connectors, meters, disconnects and over current devices.

  • X-ray system means an assemblage of components for the controlled production of x-rays. It includes minimally an x-ray high-voltage generator, an x-ray control, a tube housing assembly, a beam-limiting device, and the necessary supporting structures. Additional components which function with the system are considered integral parts of the system.

  • Airport System means two or more airports grouped together and serving the same city or conurbation, as indicated in Annex II to Regulation (EEC) No 2408/92;

  • Supplier System means the information and communications technology system used by the Supplier in performing the Services including the Software, the Equipment and related cabling (but excluding the Customer System);

  • interconnected system means a number of transmission and distribution systems linked together by means of one or more interconnectors;

  • Production System means a live SAP system used for running Licensee’s internal business operations and where Licensee’s data is recorded.

  • Grid System means STU / MSEDCL power transmission system / distribution system through which Delivered Energy is evacuated and distributed.

  • Alarm system means equipment and devices assembled for the purpose of:

  • Customer System means the Customer's computing environment (consisting of hardware, software and/or telecommunications networks or equipment) used by the Customer or the Supplier in connection with this Contract which is owned by or licensed to the Customer by a third party and which interfaces with the Supplier System or which is necessary for the Customer to receive the Services;

  • Tank system means a hazardous waste storage or treatment tank and its associated ancillary equipment and containment system.

  • Licensed System means, collectively:

  • E-System means any electronic system approved by Agent, including Intralinks® and ClearPar® and any other Internet or extranet-based site, whether such electronic system is owned, operated or hosted by Agent, any of its Related Persons or any other Person, providing for access to data protected by passcodes or other security system.

  • Operating System refers to the software that manages Hardware for Programs and other software.
