• If Contractor ceases to provide a Borrowed Employee as permitted herein, Contractor shall promptly replace such Borrowed Employee with another Borrowed Employee meeting the requirements hereof.

• The Supplier Agency shall indemnify, defend and hold harmless the other Parties from and against any and all claims made by or on behalf of a Borrowed Employee or any government agency as a result of any alleged non-compliance by a Party with any law or regulation applicable to the Borrowed Employees, except for those claims that are solely related to an alleged violation of a law or regulation by an agent of User Agency.
