Borrower Debenture definition

Borrower Debenture means the first ranking debenture between the Borrower as chargor and the Lender as chargee with respect to the UoB Account and all of the Transferred Convertible Notes and cash credited to the UoB Account.
Borrower Debenture means the debenture creating assignments and fixed and floating charges to be entered into between the Borrower and the Security Trustee in respect of the assets of the Borrower described therein.
Borrower Debenture is the debenture in the Agreed Form to be executed on or about the Effective Date by the UK Borrower in favour of the Bank, as amended and/or restated, supplemented, varied or novated from time to time.
