Bridge Security Documents definition

Bridge Security Documents has the meaning set forth in the Intercreditor Agreement.
Bridge Security Documents means the Security Agreement (as defined in the Bridge Loan Agreement) and any other agreement, document or instrument pursuant to which Liens are granted or purported to be granted securing Bridge Obligations or under which rights or remedies with respect to such Liens are governed.
Bridge Security Documents means, collectively, (a) so long as the Interim Loan Agreements are outstanding any and all documents executed in connection with the Interim Loan Agreements or in furtherance thereof, pursuant to which any Credit Party grants to the Bridge Secured Parties (whether through a Bridge Agent or otherwise) a Lien on the Bridge Collateral and the Shared Collateral, or any part thereof as the same may be amended, modified or supplemented from time to time and (b) thereafter any agreement, document or instrument pursuant to which rights or remedies with respect to such Liens are governed, which in each case may include intercreditor and/or subordination agreements or arrangements among various Bridge Secured Parties.

  • Notwithstanding anything to the contrary contained in this Section 17, each such assignee or transferee, upon becoming the Holder hereunder, acknowledges that it is bound by the terms and conditions of Section 5.12 of the Bridge Security Agreement and agrees to, promptly upon the request of the Collateral Agent, deliver to Collateral Agent a written Joinder to the Bridge Security Agreement and other Bridge Security Documents.

  • Subject to such security having become enforceable, and subject to clause 16.4.3 below, until the Senior Discharge Date, the Security Trustee shall act, in relation to the security conferred by the Subordinated Bridge Security Documents, in accordance with the instructions of the Majority Lenders (which, subject to clause 16.4.4, shall override any conflicting instructions given by or on behalf of the Subordinated Bridge Trustee).

  • The HY Security Documents, the FRN Security Documents and the Subordinated Bridge Security Documents rank pari passu with each other.

  • The Security Trustee shall enforce the security conferred by the Subordinated Bridge Security Documents (if then enforceable) in such manner as instructed by the Majority Lenders or (in accordance with this Deed) the Subordinated Bridge Trustee or, in the absence of instructions as it sees fit and, subject as required by applicable law, having first regard to the interests of the Senior Creditors and Subordinated Bridge Creditors, in that order.

  • The Majority Lenders or the Subordinated Bridge Trustee may give or refrain from giving instructions to the Security Trustee to enforce or refrain from enforcing the security conferred by the Subordinated Bridge Security Documents (in the case of the Subordinated Bridge Trustee, solely to the extent permitted by clauses 15.1 ( Restrictions on HY Creditor, FRN Creditor and Subordinated Bridge Creditor Enforcement Action) and clause 16.4.3).

  • Subject to the provisions of this clause 16 ( Enforcement of Security), no Senior Creditor nor Subordinated Bridge Creditor shall be responsible to any Subordinated Shareholder Creditor or Obligor for any failure or delay to enforce or maximise the proceeds of any enforcement of the Subordinated Bridge Security Documents (except to the extent arising from such person’s gross negligence or wilful default).

  • An Event of Default (other than a Covered Vendor Facility Default) shall occur under the Financing Agreements or the Security Documents or a Bridge Event of Default (other than a Covered Bridge Default) shall occur under the Bridge Financing Agreements or the Bridge Security Documents.

  • To the extent permitted by law, the Company hereby waives demand, notice, protest and all other demands and notices in connection with the delivery, acceptance, performance, default or enforcement of this Note, the Bridge Security Documents, the Securities Purchase Agreement and the other Transaction Documents.

  • In addition to any remedy the Holder may have under this Note, the Bridge Security Documents and the other Transaction Documents, such unpaid amounts shall bear interest at the Default Rate.

  • Each of the parties hereto acknowledges that certain of the registrations made at various Personal Property Registries have been made with collateral descriptions which are broader than the actual collateral held by the First Lien Bridge Agent, the Second Lien Bridge Agent and the Loan Agent under the Bridge Security Documents and the Loan Agreement Security Documents.

Related to Bridge Security Documents

  • Note Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any Note Obligations or under which rights or remedies with respect to such Liens are governed.

  • ABL Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any ABL Obligations or under which rights or remedies with respect to such Liens are governed.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Second Lien Security Documents means all “Security Documents” as defined in the Second Lien Credit Agreement, and all other security agreements, mortgages, deeds of trust and other security documents executed and delivered in connection with any Second Lien Credit Agreement, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time.

  • UK Security Documents means the UK Pledge Agreements and the UK Debenture.

  • Senior Security Documents means with respect to any Senior Secured Party, the Security Documents that secure the Senior Obligations.

  • First Lien Security Documents means the Security Documents (as defined in the First Lien Credit Agreement) and any other agreement, document or instrument pursuant to which a Lien is granted or purported to be granted securing any First Lien Obligations or under which rights or remedies with respect to such Liens are governed.

  • Dutch Security Documents means the Dutch Share Pledges, the Dutch Intercompany Pledges and any other Dutch law security document creating security for the benefit of the Collateral Agent.

  • Security Documents means the Security Agreement, the Mortgages, the Intellectual Property Security Agreement, the Pledge Agreement, the Facility Guarantee, and each other security agreement or other instrument or document executed and delivered pursuant to this Agreement or any other Loan Document that creates a Lien in favor of the Collateral Agent to secure any of the Obligations.

  • Collateral Security Documents Any document or instrument given to secure or guaranty the Mortgage Loan, including without limitation, the Mortgage, each as amended, supplemented, assigned, extended or otherwise modified from time to time.

  • U.S. Security Documents means and include the U.S. Security Agreement, the U.S. Pledge Agreement, each Mortgage covering a U.S. Mortgage Property and each Additional Security Document covering assets of a U.S. Credit Party situated in the United States.

  • Additional Security Documents shall have the meaning provided in Section 9.12(a).

  • Canadian Security Documents means the Canadian Security Agreement, any share pledge agreement governed by Canadian law which provides for a Lien in favor of the Agent as security for any of the Obligations, and each other agreement, document or instrument executed by any Loan Party governed by Canadian law which provides for a Lien in favor of the Agent as security for any of the Obligations.

  • Transaction Security Documents means each of the documents listed as being a Transaction Security Document in paragraph 2(e) of Part I of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement and any document required to be delivered to the Administrative Agent under paragraph 3(d) of Part II of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement together with any other document entered into by any Obligor creating or expressed to create any Security over all or any part of its assets in respect of the obligations of any of the Obligors under any of the Finance Documents (and any other Debt Documents).

  • Priority Lien Security Documents means the Priority Credit Agreement (insofar as the same grants a Lien on the Collateral), each agreement listed in Part A of Exhibit B hereto, and any other security agreements, pledge agreements, collateral assignments, mortgages, deeds of trust, control agreements, or grants or transfers for security, now existing or entered into after the date hereof, executed and delivered by the Borrower or any other Grantor creating (or purporting to create) a Lien upon Collateral in favor of the Priority Lien Agent (including any such agreements, assignments, mortgages, deeds of trust and other documents or instruments associated with any Priority Substitute Credit Facility).

  • First Priority Documents means the First Priority Agreement, each First Priority Security Document and each First Priority Guarantee.

  • Second Priority Documents means each Second Priority Agreement, each Second Priority Security Document and each Second Priority Guarantee.

  • Security Documentation means the Security Documentation applicable to the specific Services purchased by Client, as updated from time to time, and as made reasonably available by Securiti.

  • Second Lien Security Agreement means the “Security Agreement” as defined in the Second Lien Credit Agreement.

  • Foreign Security Documents means any agreement or instrument entered into by any Foreign Subsidiary Borrower that is reasonably requested by the Collateral Agent providing for a Lien over the assets (including shares of other Subsidiaries) of such Foreign Subsidiary Borrower.

  • Credit Facility Documents means the collective reference to any Credit Facility, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Additional Security Document means, any security document relating to the ETP Securities designated as such by Issuer and the Trustee, as amended, supplemented, novated and/or replaced from time to time but, for the avoidance of doubt, not including the Trust Deed or the Margin Account Security Agreement.

  • Subordinated Note Documents means the indenture under which the Subordinated Notes were issued and all other instruments, agreements and other documents evidencing or governing the Subordinated Notes or providing for any Guarantee or other right in respect thereof.

  • First Lien Security Agreement means the “Security Agreement” as defined in the First Lien Credit Agreement.

  • Senior Secured Note Documents means the Senior Secured Note Indenture, the Senior Secured Note Guarantees, the Senior Secured Notes, the Intercreditor Arrangements, any security document relating to the Senior Secured Notes and/or the Senior Secured Note Indenture and any other document that may be entered into pursuant to any of the foregoing.

  • Subordinated Note Indenture means the Indenture dated as of the Closing Date, among the Borrower, the guarantors party thereto and The Bank of New York, as trustee, pursuant to which the Subordinated Notes are issued, as the same may be amended, supplemented or otherwise modified from time to time to the extent permitted by Section 10.7(b).
