Bridge Security Documents definition

Bridge Security Documents has the meaning set forth in the Intercreditor Agreement.
Bridge Security Documents means the Security Agreement (as defined in the Bridge Loan Agreement) and any other agreement, document or instrument pursuant to which Liens are granted or purported to be granted securing Bridge Obligations or under which rights or remedies with respect to such Liens are governed.
Bridge Security Documents means, collectively, (a) so long as the Interim Loan Agreements are outstanding any and all documents executed in connection with the Interim Loan Agreements or in furtherance thereof, pursuant to which any Credit Party grants to the Bridge Secured Parties (whether through a Bridge Agent or otherwise) a Lien on the Bridge Collateral and the Shared Collateral, or any part thereof as the same may be amended, modified or supplemented from time to time and (b) thereafter any agreement, document or instrument pursuant to which rights or remedies with respect to such Liens are governed, which in each case may include intercreditor and/or subordination agreements or arrangements among various Bridge Secured Parties.

Examples of Bridge Security Documents in a sentence

  • An Event of Default (other than a Covered Vendor Facility Default) shall occur under the Financing Agreements or the Security Documents or a Bridge Event of Default (other than a Covered Bridge Default) shall occur under the Bridge Financing Agreements or the Bridge Security Documents.

  • Upon the acceptance of any appointment as collateral agent hereunder by a successor agent, such successor collateral agent shall thereupon succeed to and become vested with all the rights, powers, privileges and duties of the collateral agent, and the Bridge Collateral Agent shall be discharged from its duties and obligations under this Agreement and the other Bridge Security Documents.

  • After the Bridge Collateral Agent’s resignation hereunder as the collateral agent, the provisions of this Section 4(j) shall inure to its benefit as to any actions taken or omitted to be taken by it while it was the Bridge Collateral Agent under this Agreement and the other Bridge Security Documents.

  • No later than six months prior to the expiry date of a Trustee’s term, the Chair shall give written notice to the party who appointed the Trustee and that party shall renew the appointment of the Trustee or appoint a successor Trustee.

  • Nothing in this Section 10 shall limit any other rights the Holder may have under this Note, the Bridge Security Documents or the other Transaction Documents.

  • An Event of Default (other than a Known Vendor Facilities Default) shall occur under the Financing Agreements or the Security Documents or a Bridge Event of Default (other than a Known Bridge Default) shall occur under the Bridge Financing Agreements or the Bridge Security Documents.

  • To the extent permitted by law, the Company hereby waives demand, notice, protest and all other demands and notices in connection with the delivery, acceptance, performance, default or enforcement of this Note, the Bridge Security Documents, the Securities Purchase Agreement and the other Transaction Documents.

  • Each of the parties hereto acknowledges that certain of the registrations made at various Personal Property Registries have been made with collateral descriptions which are broader than the actual collateral held by the First Lien Bridge Agent, the Second Lien Bridge Agent and the Loan Agent under the Bridge Security Documents and the Loan Agreement Security Documents.

  • Except as set forth on Schedule 4(z), there are no restrictions applicable to the Real Property that would interfere with the Company’s or any Subsidiary’s making an assignment or granting of a leasehold or other mortgage to Buyer as contemplated by the Bridge Security Documents, including any requirement under any Real Property Leases requiring the consent of, or notice to, any lessor of any such Real Property.

  • In addition to any remedy the Holder may have under this Note, the Bridge Security Documents and the other Transaction Documents, such unpaid amounts shall bear interest at the Default Rate.

  • Note Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any Note Obligations or under which rights or remedies with respect to such Liens are governed.

  • ABL Security Documents means any agreement, document or instrument pursuant to which a Lien is granted securing any ABL Obligations or under which rights or remedies with respect to such Liens are governed.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Second Lien Security Documents means the “Security Documents”, as defined in the Second Lien Credit Agreement, and any other agreement, document or instrument pursuant to which a Lien is granted to secure any Second Lien Obligations or under which rights or remedies with respect to any such Lien are governed.

  • UK Security Documents means the UK Pledge Agreements and the UK Debenture.

  • Senior Security Documents means with respect to any Senior Secured Party, the Security Documents that secure the Senior Obligations.

  • First Lien Security Documents means, collectively, (i) the Credit Agreement Collateral Documents and (ii) the Additional First-Lien Security Documents.

  • Dutch Security Documents means the Dutch Security Agreements, the Dutch Share Pledges, and each other agreement, document or instrument executed by any Loan Party governed by Dutch law which provides for a Lien in favor of the Agent as security for any of the Obligations.

  • Security Documents means the Security Agreement, the Mortgages, the Intellectual Property Security Agreement, the Pledge Agreement, the Facility Guarantee, and each other security agreement or other instrument or document executed and delivered pursuant to this Agreement or any other Loan Document that creates a Lien in favor of the Collateral Agent to secure any of the Obligations.

  • Collateral Security Documents Any document or instrument given to secure or guaranty the Mortgage Loan, including without limitation, the Mortgage, each as amended, supplemented, assigned, extended or otherwise modified from time to time.

  • U.S. Security Documents means, collectively, (a) the U.S. Security Agreement, (b) any security agreement executed and delivered after the Agreement Date by a Person that is or becomes a U.S. Obligor hereunder in accordance with Section 7.16, (c) the U.S. Intellectual Property Security Agreement, and (d) any Control Agreement or other agreements, instruments and documents heretofore, now or hereafter securing any of the U.S. Obligations.

  • Additional Security Documents shall have the meaning provided in Section 9.12(a).

  • Canadian Security Documents means the Canadian Security Agreement, any share pledge agreement governed by Canadian law which provides for a Lien in favor of the Agent as security for any of the Obligations, and each other agreement, document or instrument executed by any Loan Party governed by Canadian law which provides for a Lien in favor of the Agent as security for any of the Obligations.

  • Transaction Security Documents means each of the documents listed as being a Transaction Security Document in paragraph 2(e) of Part I of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement and any document required to be delivered to the Administrative Agent under paragraph 3(d) of Part II of Schedule 2 (Conditions Precedent) of the 2009 Financing Agreement together with any other document entered into by any Obligor creating or expressed to create any Security over all or any part of its assets in respect of the obligations of any of the Obligors under any of the Finance Documents (and any other Debt Documents).

  • Priority Lien Security Documents means the Priority Credit Agreement (insofar as the same grants a Lien on the Collateral), each agreement listed in Part A of Exhibit B hereto, and any other security agreements, pledge agreements, collateral assignments, mortgages, deeds of trust, control agreements, or grants or transfers for security, now existing or entered into after the date hereof, executed and delivered by the Borrower or any other Grantor creating (or purporting to create) a Lien upon Collateral in favor of the Priority Lien Agent (including any such agreements, assignments, mortgages, deeds of trust and other documents or instruments associated with any Priority Substitute Credit Facility).

  • First Priority Security Documents means each agreement or document granting or purporting to xxxxx x Xxxx on any Common Collateral to secure First Priority Obligations.

  • ABL Security Agreement means the Security Agreement (as defined in the ABL Credit Agreement).

  • First Priority Documents means the First Priority Agreement, each First Priority Security Document and each First Priority Guarantee.

  • Second Priority Documents means each Second Priority Agreement, each Second Priority Security Document and each Second Priority Guarantee.

  • Security Documentation means the Security Documentation applicable to the specific Services purchased by Client, as updated from time to time, or as otherwise made reasonably available by IRONSCALES.

  • Second Lien Security Agreement means the “Security Agreement” as defined in the Second Lien Credit Agreement.

  • Foreign Security Documents means any agreement or instrument entered into by any Foreign Subsidiary Borrower that is reasonably requested by the Collateral Agent providing for a Lien over the assets (including shares of other Subsidiaries) of such Foreign Subsidiary Borrower.

  • Credit Facility Documents means the collective reference to any Credit Facility, any notes issued pursuant thereto and the guarantees thereof, and the collateral documents relating thereto, as amended, supplemented, restated, renewed, refunded, replaced, restructured, repaid, refinanced or otherwise modified, in whole or in part, from time to time.

  • Additional Security Document means, any security document relating to the ETP Securities designated as such by Issuer and the Trustee, as amended, supplemented, novated and/or replaced from time to time but, for the avoidance of doubt, not including the Trust Deed or the Margin Account Security Agreement.

  • Subordinated Note Documents means the indenture under which the Subordinated Notes were issued and all other instruments, agreements and other documents evidencing or governing the Subordinated Notes or providing for any Guarantee or other right in respect thereof.

  • First Lien Security Agreement means the “Security Agreement” as defined in the First Lien Credit Agreement.
