Bundled Contracts definition

Bundled Contracts means those contracts, agreements and arrangements (oral or written) listed on Schedule 1.1.20, pursuant to which Reliant is either (a) selling to third parties Product together with other products of Reliant not included in the Acquired Assets, including agreements between Reliant and group purchasing organizations and rebate agreements, or (b) receiving from third parties services related to the Product Line Operations together with services related to other businesses of Reliant.
Bundled Contracts has the meaning set forth in Section 5.16.
Bundled Contracts means Financing Contracts that contain service, warranty or similar obligations (except remarketing obligations) of any member of the Seller Group or any of their Affiliates.

  • Reliant shall use commercially reasonable efforts, at its sole expense and as promptly as reasonably possible, to terminate the Bundled Contracts solely as such contracts relate to the Product.

More Definitions of Bundled Contracts

Bundled Contracts has the meaning set forth in Section 5.9, all of which are set forth in Schedule 5.9(A).
Bundled Contracts means the written contracts and arrangements pursuant to which one or more members of the Seller’s Group indirectly provides, as part of the Business, connectivity services to customers of other members of the Seller’s Group as an ancillary part of certain bundled services provided to such customers by those other members of the Seller’s Group, and “Bundled Contract” means any one of them;
Bundled Contracts means those Contracts pursuant to which the Company sells to third parties products or services of the Business together with other products or services of the Company not included in the Business, including those set forth in Section 5.13 of the Company Disclosure Schedule.
Bundled Contracts means those contracts, agreements or arrangements (oral or written) pursuant to which the Seller is either (a) selling to third parties Phos-Lo Products together with other products of the Seller not included in the Acquired Assets, or (b) receiving from third parties services related to the Product Line Operations together with services related to other businesses of the Seller, including without limitation agreements between the Seller and group purchasing organizations and rebate agreements, including those contracts, agreements and arrangements identified as Bundled Contracts on SCHEDULE 2.1(B)(VII) hereto.
Bundled Contracts means those contracts or other similar agreements set forth in Section 1.15 of the Disclosure Schedule pursuant to which Sellers are, immediately prior to the Closing Date, selling products included in the Cyanamid Storz Assets and the Wyeth Storz Assets along with other products of Sellers to third party buyers. ARTICLE 1.15 "Business" shall refer to the business of the Companies together with the Cyanamid Storz Business, the Wyeth Storz Business and the International Business, excluding the Excluded Assets and the Excluded Liabilities. ARTICLE 1.16 "Business Field" shall mean all products manufactured, sold or distributed as part of the Business, including ophthalmic products, surgical equipment, implants, pharmaceuticals and hand-held surgical instruments, but excluding the Excluded Assets and the Excluded Liabilities. ARTICLE 1.17 "Chiron Purchase Agreement" shall mean the agreement entered into between Buyer and Chiron Corporation under which all the issued and outstanding capital stock of CVC shall be transferred to Buyer. ARTICLE 1.18 "Chiron Transaction" shall mean the sale of all the issued and outstanding capital stock of CVC to Buyer and the transactions related thereto pursuant to the terms of the Chiron Purchase Agreement. ARTICLE 1.19 "Chirurgie Employees" shall mean (i) all individuals who, on the Closing Date, are actively employed by Chirurgie; and (ii) all individuals who are on short-term disability leave, authorized leave of absence granted prior to the Closing Date in accordance with the terms of Chirurgie's leave policy as in effect on the date of this Agreement or military service or layoff with recall rights from Chirurgie as of the Closing Date. ARTICLE 1.20 "Chirurgie Shares" shall mean all the issued and outstanding shares of capital stock of Chirurgie.
Bundled Contracts means contracts between the Licensee and a Provider in which the Service is not the only content licensed by the Licensee to the Provider.
