Business Intellectual Property Assets definition

Business Intellectual Property Assets means all Intellectual Property Assets owned by or to which Seller has an exclusive license and which are used by Seller in the Business. For purposes of this Agreement, the term “Business Intellectual Property Assets” includes, without limitation, Business Patents, Business Marks, Business Copyrights, Business Trade Secrets, Business Software, and Business Domain Names.
Business Intellectual Property Assets shall have the meaning ascribed thereto in Section 4.19(c)(ii) hereof.
Business Intellectual Property Assets means all Intellectual Property Assets owned by the Company or any of its Subsidiaries and Relating to the Business, in each case, other than the Excluded Intellectual Property Assets.

More Definitions of Business Intellectual Property Assets

Business Intellectual Property Assets means all Intellectual Property that is owned by Seller and used or held for use, in either case, either exclusively in, or reasonably necessary for, the conduct of the Business as currently conducted, including the Intellectual Property set forth in Section 2.01(b) of the Disclosure Schedules, together with all (i) royalties, fees, income, payments, and other proceeds now or hereafter due or payable to Seller with respect to such Intellectual Property; and (ii) claims and causes of action with respect to such Intellectual Property, including all rights to and claims for damages, restitution, and injunctive and other legal or equitable relief for infringement, misappropriation, or other violation thereof.
Business Intellectual Property Assets means all Intellectual Property Assets and Technology (i) owned or purported to be owned by UTSC or Shenzhen, (ii) licensed to UTSC and used exclusively in the Business by, (iii) owned or purported to be owned by Parent or any of its Subsidiaries and used exclusively in the Business or Products and (iv) to be set forth on Schedule 12(i), which shall be assigned to UTSC or any of its Subsidiaries.
Business Intellectual Property Assets means, individually and collectively, the Owned Intellectual Property Assets and the Licensed Intellectual Property Assets.
