MDx has the sole right, in its discretion and at its expense, to file, prosecute, maintain, and enforce the Business Intellectual Property Assets.
Except as set forth on Schedule 3.1(p)(i) or pursuant to a Contract set forth on Schedule 3.1(l)(i), Seller has the right to use all Business Intellectual Property Assets free from any Liens other than Permitted Liens and free from any requirement of any past, present or future royalty payments, license fees, charges or other payments, or conditions or restrictions whatsoever.
