Examples of Business Intellectual Property Assets in a sentence
All current and former employees of the Seller and contractors hired by Seller who have developed any Business Intellectual Property Assets (collectively, “IP Personnel”) have executed and delivered to Seller a nondisclosure agreement or obligation restricting such person’s right to disclose or use confidential or proprietary information of Seller.
The obligations imposed by this Section 7 will survive the termination or expiration of this VA License Agreement for five (5) years from the date of such termination or expiration; except with respect to Confidential Information that constitutes (i) trade secrets, which will survive the termination or expiration of this VA License Agreement for so long as the trade secret information is treated as trade secret under applicable Law or (ii) Business Intellectual Property Assets.
For clarity, the Parties acknowledge and agree that the Business Intellectual Property Assets shall be the Confidential Information of MDx.
For the avoidance of doubt, prior to the Closing the Company will, and will cause its Subsidiaries and their respective Affiliates to, use commercially reasonable efforts to commence the assignment or other transfer to, and assumption by, a Biofuels Subsidiary of all LC Business Intellectual Property Assets not otherwise owned by or licensed to a Biofuels Subsidiary.
For clarity, the Parties acknowledge and agree that the Business Intellectual Property Assets and Modifications shall be the Confidential Information of MDx.
