The parties acknowledge that the Buyer Parent and ▇▇▇▇▇ ▇▇▇▇▇ have entered into a binding term sheet (the “▇▇▇▇▇ Term Sheet”), providing for consulting services to be provided after the Closing by ▇▇▇▇▇ ▇▇▇▇▇ to Buyer Parent and the Buyer Subsidiaries, including the Company and the Company Subsidiaries.
The Buyer Financial Statements (including the related notes) present fairly in all material respects the consolidated financial position of the Buyer Parent and the Buyer Subsidiaries as at the respective dates thereof and their consolidated results of operations and cash flows for the periods then ended (subject to normal and recurring year-end audit adjustments in the case of any unaudited interim financial statements).
Except as has not had and would not reasonably be expected to have, individually or in the aggregate, a Buyer Material Adverse Effect, all Buyer Permits are in full force and effect, no default (with or without notice, lapse of time or both) has occurred under any such Buyer Permit, and neither the Buyer Parent nor any of the Buyer Subsidiaries has received any written notice from any Governmental Entity threatening to suspend, revoke, withdraw or materially modify any such Buyer Permit.
