Canadian Banking Day definition

Canadian Banking Day means any day on which banks are open for business in Toronto, Ontario.
Canadian Banking Day means any day other than a Saturday, Sunday or other day on which commercial banks are authorized to close under the Laws of, or are in fact closed in, the Province of Ontario, Canada.

More Definitions of Canadian Banking Day

Canadian Banking Day means a day on which chartered banks are open for over-the-counter business in Toronto, Ontario, and excludes Saturday, Sunday and any other day which is a statutory holiday in Toronto, Ontario. Capital Lease Obligations shall mean, as to any Person, the obligations of such Person to pay rent or other amounts under a lease of (or other agreement conveying the right to use) real and/or personal property to the extent such obligations are required to be classified and accounted for as a capital lease on a balance sheet of such Person under GAAP and, for purposes of this Agreement, the amount of such obligations shall be the capitalized amount thereof, determined in accordance with GAAP (subject to Section 1.3 [Accounting Principles; Changes in GAAP]).
Canadian Banking Day means any day on which banks are open for business in Toronto, Ontario. Canadian Dollar shall mean the lawful money of Canada. Canadian Pension Event shall mean (a) the termination or wind-up in whole or in part of any Canadian Pension Plan that contains a defined benefit provision, as such term is defined in subsection 147.1(1) of the Income Tax Act (Canada) or the institution of proceedings by any Official Body to terminate or wind-up in whole or in part or have a trustee or a replacement administrator appointed to administer a Canadian Pension Plan that contains a defined benefit provision, as such term is defined in subsection 147.1(1) of the Income Tax Act 282118229 (Canada), (b) the occurrence of an event under the Income Tax Act (Canada) that could reasonably be expected to affect the registered status of any Canadian Pension Plan that contains a defined benefit provision, as such term is defined in subsection 147.1(1) of the Income Tax Act (Canada), (c) the taking of any action with respect to any Canadian Pension Plan which could reasonably be expected to result in a Material Adverse Change, (d) receipt by a Borrower of any order or notice of intention to issue an order from the applicable pension standards regulator or similar Official Body that could reasonably be expected to affect the registered status or cause the termination or wind-up (in whole or in part) of any Canadian Pension Plan that contains a defined benefit provision, as such term is defined in subsection 147.1(1) of the Income Tax Act (Canada), (e) the receipt of notice by the administrator or the funding agent of any failure to remit contributions to a Canadian Pension Plan, where such failure could reasonably be expected to result in a Material Adverse Change, (f) the adoption of any amendment to a Canadian Pension Plan that would require the provision of security pursuant to applicable Law, or (g) any other extraordinary event or condition with respect to a Canadian Pension Plan that could reasonably be expected to result in a Lien or any acceleration of any statutory requirements to fund all or a substantial portion of the unfunded accrued benefit liabilities of such plan.

Derivatives of such term have corresponding meanings. “Cash Equivalents” means: (a) direct obligations of the United States of America or any agency or instrumentality thereof or obligations backed by the full faith and credit of the United States of America maturing in twelve (12) months or less from the date of acquisition; (b) commercial paper maturing in one (1) year or less rated not lower than A-1, by S&P or P-1 by Moody’s on the date of acquisition; (c) demand deposits, time deposits or certificates of deposit maturing within one year in commercial banks whose obligations are rated A-1, A or the equivalent or better by S&P on the date of acquisition; (d) money market or mutual funds whose investments are limited to those types of investments described in clauses (a)-(c) above; and (e) fully collateralized repurchase agreements with a term of not more than one hundred eighty (180) days for securities described in clause (a) above and entered into with commercial banks whose obligations are rated A-1, A or the equivalent or better by S&P on the date of acquisition. “Casualty” has the meaning assigned to such term in Section 5.12. “CFC” means each Person that is a “controlled foreign corporation” within the meaning of Section 957(a) of the Code. “CFC Holdco” means a Domestic Subsidiary owning, directly or indirectly, no material assets other than equity interests of one or more CFCs. “Change in Control” means (i) any “person” or “group” (as such terms are used in Sections 13(d) and 14(d) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”)) shall have acquired
Canadian Banking Day means any day on which banks are open for business in Toronto, Ontario. “Cash Collateralize” means, to pledge and deposit with or deliver to the Administrative Agent, for the benefit of one or more of the Issuing Lender or the Lenders, as collateral for Letter of Credit Obligations or obligations of Lenders to fund participations in respect of Letter of Credit Obligations, cash or deposit account balances in the applicable Currency or, if the Administrative Agent and each applicable Issuing Lender shall agree in their sole discretion, other credit support, in each case pursuant to documentation in form and substance reasonably satisfactory to the Administrative Agent and each applicable Issuing Lender. “Cash Collateral” shall have a meaning correlative to the foregoing and shall include the proceeds of such cash collateral and other credit support. “Cash Equivalents” means any of the following types of Investments, to the extent owned by the Parent or any Subsidiary: (1) Dollars and any Alternative Currency, or any other currency (other than Dollars or any Alternative Currency) that is a lawful currency, solely to the extent held in the ordinary course of business and not for speculative purposes, in which the Parent and/or its Subsidiaries regularly conducts business; (2) securities issued or directly and fully and unconditionally guaranteed or insured by the United States government or any agency or instrumentality of the foregoing the securities of which are unconditionally guaranteed as a full faith and credit obligation of such government with maturities of twelve (12) months or less from the date of acquisition; (3) certificates of deposit, time deposits and eurodollar time deposits with maturities of one year or less from the date of acquisition, with any domestic or foreign commercial bank having capital and surplus of not less than $500,000,000 (or the foreign currency equivalent thereof as of the date of determination);
