Canadian Effective Date definition

Canadian Effective Date means July 1, 2019.

Canadian Effective Date means the date which is the later of (i) the date the CCAA Order becomes final without further ability to appeal and (ii) the date the Agent receives the Canadian Guarantees executed by each of the Canadian Guarantors and the Agent determines that it has a perfected first priority Lien on all the Inventory of Xxxxx Xxxxx Canada pursuant to the Canadian Security Documents, and the Agent has received such documents, opinions and certificates as the Agent shall have requested in connection therewith.

Canadian Effective Date shall have the meaning provided in Section 12.10.

Examples of Canadian Effective Date in a sentence

• From and after the Canadian Effective Date, become party to any Canadian Defined Benefit Plan, other than any in existence on the Amendment and Restatement Effective Date or maintain, contribute or have any liability in respect of, or acquire any Person that maintains, contributes or has any liability in respect of, a Canadian Defined Benefit Plan during the term of this Agreement.

• On the Canadian Effective Date, nothing shall have occurred (and neither the Canadian Co-Agent nor the Agent shall have become aware of any facts or conditions not previously known) which the Canadian Co-Agent or the Agent shall determine has had, or could reasonably be expected to have, a Material Adverse Effect.

• On the Canadian Effective Date, the Agent and the Canadian Co- Agent shall have received a certificate dated such date signed by the president, any vice-president or any Authorized Financial Officer of Workflow stating that all of the applicable conditions set forth in Sections 5.03, 5.08 and 5.09 exist as of such date.

• The date on which all such conditions precedent applicable to the Canadian Borrower are satisfied or waived shall be deemed the Canadian Effective Date.

• Until the Canadian Effective Date, Canadian Lender shall not be required to make to Canadian Borrower and Canadian Borrower shall not be permitted to request from Canadian Lender, any Loans (including, without limitation, Canadian Revolving Loans, Canadian Letters of Credit and Canadian LC Guaranties).

• As of the Canadian Effective Date, Canadian Borrower hereby absolutely and unconditionally guarantees to Agents and each Lender and their respective successors and assigns, the full and prompt payment (whether at stated maturity, by acceleration or otherwise) and performance of the Obligations of U.K. Borrower hereunder and under all Loan Documents.

• To the extent that ------------------------------------------------ any conditions listed above are required to be satisfied on or prior to the occurrence of the Effective Date, such conditions shall also be, at the Agent's or Canadian Co-Agent's determination, required to be satisfied prior to the occurrence of the Canadian Effective Date to the satisfaction of the Agent and the Canadian Co-Agent.

• On the Canadian Effective Date, there shall have been delivered to the Canadian Co-Agent for the account of each Canadian Lender that has requested the same the appropriate Note or Notes executed by DBF in the amount, maturity and as otherwise provided herein.

More Definitions of Canadian Effective Date

Canadian Effective Date means the date the CCAA Order becomes final without further ability to appeal.

Canadian Effective Date means the date of this Agreement.

Canadian Effective Date shall have the meaning assigned to such term in Section 4.03.

Canadian Effective Date shall have the meaning contained in the last paragraph of Section 8 of the Agreement.

Canadian Effective Date means the date on which the Canadian Credit Agreement shall have become effective, which date shall be on or after the Third Amendment Effective Date and prior to December 31, 2005.
