Pursuant to Multilateral Instrument 11-102 – Passport System, a receipt for each of such documents is deemed to be issued by the regulator in each of the Canadian Jurisdictions other than the Province of Ontario if the conditions of such instrument have been satisfied.
As used in this Agreement, the term “Canadian Securities Laws” shall mean all applicable securities laws in each of the provinces and territories of Canada, including, without limitation, each of the Canadian Jurisdictions, and the respective regulations and rules under such laws together with applicable published rules, policy statements, blanket rulings and orders, instruments, rulings and notices of the regulatory authorities in such provinces or territories.

The Company is a reporting issuer, or the equivalent thereof, under the securities laws of each of the Canadian Jurisdictions (“Canadian Securities Laws”), is not in default of any requirement of Canadian Securities Laws, and the Company is not included on a list of defaulting reporting issuers maintained by any of the Canadian Regulators that maintain such lists.
The Acquiror is a “reporting issuer” in each of the Canadian Jurisdictions within the meaning of the Canadian Securities Laws and is in material compliance with its obligations as a reporting issuer.
