Canadian Relevant Governmental Body means the Bank of Canada, or a committee officially endorsed or convened by the Bank of Canada, or any successor thereto.

Canadian Relevant Governmental Body means the Bank of Canada, or a committee officially endorsed or convened by the Bank of Canada, or any successor thereto. “Capital Lease Obligations” means, with respect to any entity, the obligations of such entity to pay rent or other amounts under any lease of (or other arrangement conveying the right to use) real or personal property, or a combination thereof, which obligations are required to be classified and accounted for as capital leases on a balance sheet of such entity under GAAP, and the amount of such obligations shall be the capitalized amount thereof determined in accordance with GAAP. “Cash Interest Expense” means, with respect to any Obligor for any period, the amount which, in conformity with GAAP, would be set forth opposite the caption “interest expense” (exclusive of any Accreted Interest that, according to the term of the Underlying Instrument, can never be converted to cash interest that is due and payable prior to maturity (except upon default)) or any like caption reflected on the most recent financial statements delivered by such Obligor to the Borrower for such period, as determined by the Collateral Manager. “Citi Arranger” means Citibank, N.A., in its capacity as a Joint Lead Arranger. “Closing Date” means April 1, 2024. “Code” means the Internal Revenue Code of 1986, as amended. “Collateral Agent” has the meaning assigned to that term in the preamble hereto. “Collateral Agent and Collateral Custodian Fee Letter” means the fee schedule, dated on or about the Closing Date, between the Collateral Agent, the Collateral Custodian, the Account Bank and the Borrower, as it may be amended, modified, supplemented, restated or replaced from time to time. “Collateral Agent Expenses” means the expenses set forth in the Collateral Agent and Collateral Custodian Fee Letter and any other accrued and unpaid expenses (including attorneys’ fees, costs and expenses) and indemnity amounts payable by the Borrower to the Collateral Agent under the Transaction Documents. “Collateral Agent Fees” means the fees set forth in the Collateral Agent and Collateral Custodian Fee Letter, as it may be amended, restated, supplemented and/or otherwise modified from time to time. “Collateral Agent Termination Notice” has the meaning assigned to that term in Section 10.05. “Collateral Asset” means any commercial loan or bond (including Participation Interests therein) that the Borrower funds or acquires from any third party seller or the Transferor, which loan or...

  • Relevant Governmental Body means the Federal Reserve Board and/or the Federal Reserve Bank of New York, or a committee officially endorsed or convened by the Federal Reserve Board and/or the Federal Reserve Bank of New York or any successor thereto.

  • Government Authority means any foreign or domestic federal, state, provincial, municipal, county, city or local legislative, administrative or regulatory authority, agency, court, body or other governmental or quasi-governmental entity with competent jurisdiction, including any supranational body.

  • Indian Governmental Instrumentality means the Government of India, Governments of state(s), where the Power Projects, Buyer and Buying Entity are located and any ministry, department, board, authority, agency, corporation, commission under the direct or indirect control of Government of India or any of the above state Government(s) or both, any political sub-division of any of them including any court or Appropriate Commission(s) or tribunal or judicial or quasi-judicial body in India;

  • Highway authority means the state highway commission, a board of county road commissioners or the governing body of a city or village.

  • Government Instrumentality means any department, division or sub- division of the Government or the State Government and includes any commission, board, authority, agency or municipal and other local authority or statutory body including panchayat under the control of the Government or the State Government, as the case may be, and having jurisdiction over all or any part of the Project Highway or the performance of all or any of the services or obligations of the Contractor under or pursuant to this Agreement;

  • Foreign Financial Regulatory Authority shall have the meaning given by Section 2(a)(50) of the 0000 Xxx.

  • Governmental Entity means any federal, state, local or foreign governmental, administrative, judicial or regulatory agency, commission, court, body, entity or authority.
