Examples of Canadian Restricted Notes Legend in a sentence

  • As a condition to any Automatic Exchange, the Company shall provide, and the Trustee shall be entitled to conclusively rely upon, an Officer’s Certificate and Opinion of Counsel to the effect that the Automatic Exchange shall be effected in compliance with the applicable Canadian securities laws and that the restrictions on transfer contained herein and in the Canadian Restricted Notes Legend shall no longer be required in order to maintain compliance with applicable Canadian securities laws.

  • Restricted Note Legend means a legend substantially in the form set forth in Exhibit B-1.

  • Restricted Certificated Note means a Certificated Note bearing the Private Placement Legend.

  • U.S. Global Note means a Global Note that bears the Restricted Legend representing Notes issued and sold pursuant to Rule 144A.

  • Restricted Definitive Security means a Definitive Security bearing the Private Placement Legend.

  • Restricted Stock Legend means, with respect to any Conversion Share, a legend substantially to the effect that the offer and sale of such Conversion Share have not been registered under the Securities Act and that such Conversion Share cannot be sold or otherwise transferred except pursuant to a transaction that is registered under the Securities Act or that is exempt from, or not subject to, the registration requirements of the Securities Act.

  • Transfer-Restricted Security means any Security that constitutes a “restricted security” (as defined in Rule 144); provided, however, that such Security will cease to be a Transfer-Restricted Security upon the earliest to occur of the following events:

  • Unrestricted Definitive Security means Definitive Securities and any other Securities that are not required to bear, or are not subject to, the Restricted Securities Legend.

  • Restricted Global Security As defined in Section 3.01(c).

  • Restricted Global Note means a Global Note bearing the Private Placement Legend.

  • Transfer Restricted Securities means securities that bear or are required to bear the legend set forth in Section 2.06 hereof.

  • Restricted Security has the meaning assigned to such term in Rule 144(a)(3) under the Securities Act; provided, however, that the Trustee shall be entitled to receive, at its request, and conclusively rely on an Opinion of Counsel with respect to whether any Note constitutes a Restricted Security.

  • Restricted Definitive Note means a Definitive Note bearing the Private Placement Legend.

  • Regulation S Global Security The meaning specified in Section 3.01(c).
