CAPITAL MARKETS EVENT has the meaning set forth in any Credit Agreement.
CAPITAL MARKETS EVENT means the receipt by Borrower of net proceeds of not less than $200,000,000 from the issuance of Indebtedness of Borrower or Equity Interests of Borrower on terms and conditions acceptable to the Required Lenders and with the prior written consent of Required Lenders.
CAPITAL MARKETS EVENT means the issuance or incurrence by the Borrower or any of its Subsidiaries of (a) any Capital Stock, (b) any Indebtedness for borrowed money, in respect of (1) debt securities issued in a public offering or a private placement or (2) syndicated lines of credit or other credit facilities or (c) Indebtedness pursuant to any receivables securitization or CMO Transaction, but excluding (i) the Agere IPO and the Agere IPO Exchange Proceeds, (ii) issuances of Capital Stock of the Borrower pursuant to any compensation plan for directors, employees or consultants of the Borrower and its Subsidiaries, (iii) refinancings of Indebtedness maturing within one year from the date of the refinancing (regardless of whether the refinancing occurs before or after the maturity date of the Indebtedness refinanced), (iv) commercial paper and other Short-Term Indebtedness (other than Short-Term Indebtedness under a syndicated line of credit or other credit facility), (v) Indebtedness under the Lucent Credit Agreements, (vi) working capital facilities entered into by Foreign Subsidiaries of the Borrower, (vii) any transaction described in clause (a), (b) or (c) above consummated by a Foreign Subsidiary to the extent the Net Cash Proceeds thereof cannot be dividended or otherwise distributed to the Borrower or a Domestic Subsidiary without resulting in material adverse tax consequences to the Borrower or any of its Subsidiaries (except to the extent such Net Cash Proceeds are in fact so dividended), (viii) any transaction described in clause (a), (b) or (c) above consummated by an Excluded Subsidiary to the extent the Net Cash Proceeds thereof cannot be dividended or otherwise distributed to the Borrower or a Domestic Subsidiary that is not an Excluded Subsidiary, (ix) any CMO Transaction to the extent involving property described on Schedule 1.01C and (x) intercompany issuances of Capital Stock to the Borrower or any Subsidiary and intercompany Indebtedness incurred pursuant to loans made by the Borrower or any Subsidiary.

CAPITAL MARKETS EVENT means (a) the consummation by Borrower of a public or private offering of any of its Equity Interest or (b) the issuance by Borrower of any high yield public or private notes in any amount.
CAPITAL MARKETS EVENT means the consummation by CWEI of a private offering of its Capital Stock on terms and conditions acceptable to the Arranger.
CAPITAL MARKETS EVENT means the issuance or incurrence by NNL or any Material Subsidiary of any (i) indebtedness for borrowed money in respect of debt securities issued in a public offering or a private placement or (ii) syndicated lines of credit or other credit facilities. For the purpose of this definition, the indebtedness of any Person shall include the debt of others which is (x) secured by (or for which the holder of such debt has an existing right, contingent or otherwise, to be secured by) any Lien on property owned or acquired by such Person, whether or not the debt secured thereby has been assumed, or (y) guaranteed by such Person.
CAPITAL MARKETS EVENT means the issuance or incurrence by the Company or any of its Material Subsidiaries of (a) any Equity Interest which is not classified as equity under GAAP, (b) any Debt for borrowed money in respect of (1) debt securities issued in a public offering or a private placement or (2) syndicated lines of credit or other credit facilities or (c) Debt pursuant to any receivables securitization, but excluding (i) refinancings of outstanding Debt, (ii) Debt permitted pursuant to Section 5.09(i) through (ix), (iii) working capital facilities entered into by Foreign Subsidiaries of the Company in compliance with this Agreement and (iv) any transaction described in clause (a), (b) or (c) above consummated by a Foreign Subsidiary to the extent the Net Cash Proceeds thereof cannot be dividended or otherwise distributed to the Company or a Subsidiary other than a Foreign Subsidiary without resulting in material adverse tax consequences to the Company or any of its Subsidiaries (except to the extent such Net Cash Proceeds are in fact so dividended).

CAPITAL MARKETS EVENT means a Prepayment Event described in clause (ii), (iii) or (iv) of the definition of Prepayment Event.
CAPITAL MARKETS EVENT means a material disruption in the markets for debt financing (which will be deemed to exist only if substantially all successful lending, underwriting, placement or syndication activity with respect to such debt financing has ceased or been suspended).
