Private Notes. The Class B Notes and the Class C Notes. Proceeding: Any suit in equity, action at law or other judicial or administrative proceeding.
Private Notes. The Notes that have not been registered under the Securities Act or the securities laws of any other jurisdiction. As of the Closing Date, the Private Notes include the Class E Notes. Upon the registration of any of the Private Notes under the Securities Act or the securities laws of any other jurisdiction, such Private Notes shall no longer constitute Private Notes.
