Capital Markets Transaction definition

Capital Markets Transaction has the meaning specified in Section 2.5(a).

Capital Markets Transaction means the receipt by the Borrower or a Subsidiary of proceeds of an issuance in the public or private capital markets of long-term debt securities, of equity securities or of equity-linked (e.g., trust preferred) securities (other than any proceeds in respect of the issuance of Exchange Notes to SPV and the disposition of such Exchange Notes pursuant to the Forward Commitment Agreement).

Capital Markets Transaction means the receipt by the Borrower or a Subsidiary of proceeds of an issuance in the public or private capital markets of long-term debt securities, of equity securities or of equity-linked (e.g., trust preferred) securities, other than any proceeds received by the Borrower or a Subsidiary in respect of and issuance or incurrence of (A) Indebtedness or Attributable Debt pursuant to Sections 6.01(a)(v), (vi), (vii), (viii), (xii) or (xiii) of the Senior Credit Agreement or (B) Refinancing Indebtedness pursuant to Section 6.01(a)(ii) of the Senior Credit Agreement.

Capital Markets Transaction means (a) an issuance or sale of --------------------------- Securities by Company, through a public offering or private placement, or (b) a capital contribution to Company; provided, however, that in the case -------- ------- of debt Securities, any such Securities (i) shall be unsecured, and (ii) shall not have a stated maturity date or required principal payments earlier than five years from the date of issuance thereof.

Capital Markets Transaction has the meaning specified in Section 2.4(a).

Capital Markets Transaction means any issuance of debt securities by the Borrower or any of its Subsidiaries in a public offering or private placement or any incurrence of term loans by the Borrower or any of its Subsidiaries under syndicated credit facilities.

Capital Markets Transaction means any transaction whereby the Company or any of its Subsidiaries issues any securities, including equity, debt and hybrid securities, debt securities convertible to equity and any and all warrants, rights or options to purchase any of the foregoing, in each case whether in a public offering or a private placement, but excluding any and all issuances pursuant to employee stock plans or other benefit or employee incentive arrangements issuances of the Company. For the avoidance of doubt, that “Capital Markets Transaction” shall not include (i) any intercompany transactions (including but not limited to, any issuances by any Subsidiary of the Company to any other Subsidiary of the Company or to the Company), or any refinancing or replacement thereof with intercompany transactions, (ii) indebtedness incurred in the ordinary course of business of the Company and its Subsidiaries for capital expenditures, purchase money, equipment financings and/or capital leases, (iii) borrowings under the Existing Revolver, or any amendment, modification or waiver of the Existing Revolver, or any amendment and restatement, repricing, extension, refinancing of the Existing Revolver, (iv) any letter of credit, bank guaranty or similar instrument, (v) secured term loans from financial institutions, and (vi) sale and leaseback transactions.

Capital Markets Transaction means the issuance by the Company, the Borrower or any of their respective Subsidiaries after the Closing Date of (a) of debt securities (excluding mortgage financings or borrowings under the Existing Revolving Credit Agreement or this Agreement) or (b) common or preferred equity or equity equivalent securities, including partnership interests, limited liability company interests and convertible securities (however designated, and whether voting or non-voting, but excluding equity not issued for the purpose of raising cash (including, but not limited to, equity issued upon exercise of options or upon awards to company executives or trustees, equity issued under any dividend reinvestment plan and equity securities issued in private placements to a limited number of institutional investors in connection with joint venture transactions)) issued in the public or private capital markets pursuant to an underwriting or placement agreement (or similar agreement performing the same function as an underwriting or placement agreement).
