Carried Common Units definition

Carried Common Units has the meaning set forth in the recitals hereto
Carried Common Units will continue to be Carried Common Units in the hands of any holder other than the Purchasers (except for the LLC), and except as otherwise provided herein, each such other holder of Carried Common Units will succeed to all rights and obligations attributable to a Purchaser as a holder of Carried Common Units hereunder. Carried Common Units will also include equity of the LLC (or a corporate successor to the LLC or a subsidiary of the LLC) issued with respect to Carried Common Units (i) by way of a unit split, unit dividend, conversion, or other recapitalization, (ii) by way of reorganization or recapitalization of the LLC in connection with the incorporation of a corporate successor prior to a Public Offering (as defined in the LLC Agreement) or (iii) by way of a distribution of securities of a subsidiary of the LLC to the members of the LLC. Notwithstanding the foregoing, after any transfer of Unvested Common Units, such Unvested Common Units shall remain Unvested Common Units subject to further vesting in accordance with the terms hereof.

Examples of Carried Common Units in a sentence

  • Upon the consummation of a Public Offering, the Company will return to the record holders thereof certificates evidencing the Co-Invest Units and the Vested Carried Common Units.

  • The Carried Common Units shall be subject to vesting in the manner specified in this Section 2.

  • In exchange, Executive hereby authorizes Holdings LLC and the Company to cancel the certificate or certificates representing the Carried Common Units.

  • The number of Unvested Carried Common Units and Vested Common Units to be repurchased hereunder shall be allocated among the Company and the Investors pro rata according to the number of Class A Common Units to be purchased by each of them.

  • The Carried Common Units (including the Standard Carried Common Units which shall vest on a basis proportionate to the total number of Carried Common Units) shall be subject to vesting in the manner specified in this SECTION 2.

  • The number of Unvested Carried Common Units and Vested Common Units to be repurchased hereunder will be allocated among Executive and the other holders of Executive Securities (if any) pro rata according to the number of Class A Common Units to be purchased from such Person.

  • The Repurchase Notice will set forth the number of Carried Common Units to be acquired from each holder, the aggregate consideration to be paid for such units and the time and place for the closing of the transaction.

  • The Retained Performance-Vesting Carried Common Units shall continue to be subject to the performance-vesting criteria specified in paragraph 2(c), but will be forfeited if a Qualified Change of Control is not consummated within six months from the date of Executive’s termination.

Related to Carried Common Units

  • Common Units is defined in the Partnership Agreement.

  • Initial Common Units means the Common Units sold in the Initial Offering.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class A Common Units means a Common Unit which is designated as a “Class A Common Unit” and which has the rights, preferences and other privileges designated in Annex A hereto and elsewhere in this Agreement in respect of holders of Common Units.

  • Class B Units means the Class B Units of the Company.

  • Common Unit means a common unit representing a limited partner interest in the Partnership having the rights set forth in the Partnership Agreement.

  • LP Units means the non-voting limited partnership units in the capital of BEP, other than the Preferred Units, including any LP Units issued pursuant to the Redemption-Exchange Mechanism.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • Partnership Units or “Units” has the meaning provided in the Partnership Agreement.

  • Common Unitholder means a Member who is the registered holder of Common Units.

  • Class B Common Unit means one of that certain class of Common Units with those special rights and obligations specified in this Agreement as being appurtenant to a “Class B Common Unit”.

  • Class A Common Unit means a Common Unit having the rights and obligations specified with respect to Class A Common Units in this Agreement.

  • OP Units means units of limited partnership interest in the Operating Partnership.

  • Company Units has the meaning set forth in the Recitals.

  • Cumulative Common Unit Arrearage means, with respect to any Common Unit, whenever issued, and as of the end of any Quarter, the excess, if any, of (a) the sum resulting from adding together the Common Unit Arrearage as to an Initial Common Unit for each of the Quarters within the Subordination Period ending on or before the last day of such Quarter over (b) the sum of any distributions theretofore made pursuant to Section 6.4(a)(ii) and the second sentence of Section 6.5 with respect to an Initial Common Unit (including any distributions to be made in respect of the last of such Quarters).

  • Common Unit Arrearage means, with respect to any Common Unit, whenever issued, as to any Quarter within the Subordination Period, the excess, if any, of (a) the Minimum Quarterly Distribution with respect to a Common Unit in respect of such Quarter over (b) the sum of all Available Cash distributed with respect to a Common Unit in respect of such Quarter pursuant to Section 6.4(a)(i).

  • Class B Common Shares means the Class B Convertible Voting Common Shares of the Company, par value $1.00 per share.

  • Membership Units means the limited liability company interests in the Company held by the Members, expressed as a number of units held by each Member and set forth opposite such Member's name on Schedule I attached hereto, as amended, modified or supplemented from time to time.

  • General Partner Units has the meaning assigned to such term in the Partnership Agreement.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • LTIP Units means LTIP Units, as such term is defined in the Partnership Agreement.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • New Common Shares means the common stock or common equity of Reorganized XOG to be issued on the Effective Date.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Class A Common Shares means class A common shares of a nominal or par value of US$0.00001 each in the capital of the Company having the rights provided for in the Memorandum and Articles of Association, and any shares into which such class A common shares may be converted.
